Diese stellen eine Form von Unternehmensübernahmen oder -beteiligungen anhand eines zu hohem Maße fremdfinanzierten Kapitalanteils dar, dessen Folge u.a. durch entsprechend hohe Kapitalkosten, i.w.S. Zinsen, einhergeht. Anfallende Zinsaufwendungen konnte ein Betrieb bisher uneingeschränkt als betriebsbezogene Aufwendungen verrechnen, sodass als Resultat eine Schmälerung des Gewinns durch entsprechende Zinsaufwendungen an Fremdkapitalgeber verbucht werden konnte. Der Gesetzgeber erkannte eine im Vergleich zum internationalen Wettbewerb hohe Fremdkapitalquote deutscher Unternehmen, die künftig zur Prävention und Schmälerung von Insolvenzrisiken gedrosselt werden sollte sowie missbräuchliche Ausgestaltungen bei der Strukturierung von Leveraged Buyout-Transaktionen, zur Minimierung der Steuerbelastungen, welche künftig nicht mehr zulässig sein sollten. Umgesetzt wurde das Ziel durch die gezielte Abänderung steuerrechtlicher Restriktionen durch den 16. Bundestag, i.e.S. durch die Neuregelung der Zinsschranke. Private Equity Fonds gelten dabei verstärkt seit dem 21. Jh. als Wachstumstreiber des M&A-Marktes und stellen in Zusammenhang mit derartigen Übernahmekonstrukten die wesentlichen Initiatoren dar. Vor allem im letzten Jahrzehnt gewannen LBOs konstant an Bedeutung, nicht zuletzt durch die vielversprechenden Renditen, die den Kapitalgebern durch eine Zunahme der qualitativen Fachkenntnisse und Erfahrungen in Bezug auf die optimale Ausgestaltung und Planung derartiger Transaktionen, zugesichert wurden. The increasing popularity of private equity (‘PE'), and especially leveraged buyouts in the late 1980s, established a novel area of research in these investments. First, research concentrated on the taking private of large corporations in the US. In his most significant paper, Jensen (1989) claimed that PE firms which function as activist investors incentivize the management of their portfolio companies to maximize value, and concluded that in the long run, private companies, owned by PE firms, would outperform firms under public ownership. Others argued that PE firms simply buy companies at a discount by exploiting private information about the takeover targets, or reduce tax spending by highly leveraging the portfolio companies. Today, many PE firms are publicly listed, and the greater transparency and availability of information about these listed PE firms, offers a unique basis to conduct research. Current research in the field of PE, and buyout investments leads to the question, in how far PE firms generate value by means of an investment into a portfolio company. Usually, drivers of value generation are classified into governance, financial and operational capabilities of PE firms. In addition to these direct drivers of value, investment and portfolio management strategies differ with respect to the ways of acquiring and divesting a portfolio company, and these different entry, and exit channels can in turn, offer distinct potential for value generation. Therefore, this paper first presents the investment and portfolio management strategies of PE firms. The strategies include different types of acquisitions, and exits, as well as the associated drivers of value creation. The second objective is to establish a link between different investment strategies, and the expected returns generated on the investor level. 'Leveraged buyouts originated in the early 1960's. It is also known as a hostile takeover, a highly-leveraged transaction, or a bootstrap transaction. In effect, it is a tactic through which control of a corporation is acquired by buying up a majority of their stock using borrowed money. Typically, an investor or financial sponsor acquires a controlling interest in a company's equity. A significant percentage of the purchase price here is financed through borrowing, which is termed leverage. The assets of the acquired company are used as collateral for the borrowed capital and sometimes the acquiring company's assets are used as well. Once control is acquired, the company is often made private, so that the new owners have more leeway to do what they want with it.
