Abstract

The article reports on the move by the Italian Council of Ministers to impose corporate governance rules on TIM, formerly known as Telecom Italia, in response to French company Vivendi's shareholding. The Golden Power instruction from the council requires TIM and its subsidiaries Sparkle and Telsy to assign national security functions to a member of the board of directors who is an Italian citizen, among other requirements. Vivendi owns a 24% stake in TIM.
