The Queensland Court of Appeal decision of FTV Holdings Cairns Pty Ltd v Smith [2014] QCA 217 analysed many issues concerning the enforceability of an “irrevocable authority” signed by clients directed to their solicitors regarding the payment of money to a third party. The action also drew those solicitors into the litigation as they acted contrary to that “irrevocable authority” by paying the money concerned directly to their clients but upon their clients’ later instructions. The result probably confirmed what many solicitors have believed to be the case for some time but which had never been considered in legal analysis in an appellate court. The facts of the case would be common to many day to day transactions.

We describe the objectives, design and predicted performance of Clover, which is a ground-based experiment to measure the faint ``B-mode'' polarisation pattern in the cosmic microwave background (CMB). To achieve this goal, clover will make polarimetric observations of approximately 1000 deg^2 of the sky in spectral bands centred on 97, 150 and 225 GHz. The observations will be made with a two-mirror compact range antenna fed by profiled corrugated horns. The telescope beam sizes for each band are 7.5, 5.5 and 5.5 arcmin, respectively. The polarisation of the sky will be measured with a rotating half-wave plate and stationary analyser, which will be an orthomode transducer. The sky coverage combined with the angular resolution will allow us to measure the angular power spectra between 20 < l < 1000. Each frequency band will employ 192 single polarisation, photon noise limited TES bolometers cooled to 100 mK. The background-limited sensitivity of these detector arrays will allow us to constrain the tensor-to-scalar ratio to 0.026 at 3sigma, assuming any polarised foreground signals can be subtracted with minimal degradation to the 150 GHz sensitivity. Systematic errors will be mitigated by modulating the polarisation of the sky signals with the rotating half-wave plate, fast azimuth scans and periodic telescope rotations about its boresight. The three spectral bands will be divided into two separate but nearly identical instruments - one for 97 GHz and another for 150 and 225 GHz. The two instruments will be sited on identical three-axis mounts in the Atacama Desert in Chile near Pampa la Bola. Observations are expected to begin in late 2009., 5 pages, 3 figures. This chapter is devoted to the issue of non-fiduciary common law obligations of good faith, as they may arise in the performance and enforcement of joint ventures. In recent times a rush of commercial contractual claims involving good faith has signified the need for a separate chapter examining this issue. Although most of these decisions have arisen in commercial contexts other than joint ventures, the decisions, nevertheless, warrant careful consideration to the extent that they cast light on the likely contours of the common law good faith obligation as it may apply in the joint venture context.

Following upon the success of the 2nd edition published in 2005, this new edition not only updates its predecessor but also adds considerable new material in consequences of changes in the law generally and commercial approaches to financing joint ventures in particular. Of special note are the following: Financing of Joint Ventures has been completely re-written with considerable additions to take account of the new legislative regimes such as the Personal Property Securities, the impact of climate change legislation, specifically carbon pricing with additional material on structuring generally and particularly in relation to large joint ventures with governments through Public Private Partnerships. A new Chapter called Resources Joint Ventures undertakes a thorough analysis of a typical resources joint venture and is heavily cross referenced into the chapter on Default which has also been updated. International Joint Ventures now includes additional material on structuring and dispute resolution. Joint Ventures and the Competition and Consumer Act has been substantially re-written to take account of 2009 legislative amendments on cartel conduct, and the impact of changes wrought by the Competition and Consumer Act 2010. All other chapters and material has been updated to accommodate other legislative changes and new case law over the seven years since the last edition.
