The article presents a book on industrial organization, technological change and industry studies. "Mergers and Acquisitions: Current Problems in Perspective," edited by Michael Keenan and Lawrence J. White brings together the papers and some of the discussion at a conference organized by the editors at the Salomon Brothers Center for the Study of Financial institutions at New York University. Different sessions were focused on issues in merger theory, social and legal issues, empirical studies of the determinants of mergers; and mergers viewed in the context of the firm's strategic planning. In the first paper, B.C. Stapleton uses option pricing theory to analyze the impact of mergers on debt capacity defined as a supply function, i.e., the maximum debt which can be sold at various promised yields. For any individual firm, debt capacity is shown to increase at a diminishing rate as the promised coupon increases, and for any given coupon rate the obtainable debt declines at an increasing rate as the risk of the underlying cash flow increases. Mergers Increase debt capacity even when cash flows are perfectly correlated because of the nonlinear effects of risk.
