El Criminal Compliance resulta ser materia emergente en el Perú, desde su desarrollo e implementación en la Ley 30424 en 2016. Y es debido a dicha condición prematura que tras años de su promulgación se pueden observar en los resultados obtenidos ciertas deficiencias. Es por ello que el autor, en el presente artículo se encarga de analizar la normativa, junto al desarrollo e implementación de la misma en este periodo. Planteando los diferentes puntos teóricos que afectan la utilidad de la normativa, y que representa la necesidad de una reforma que brinde las herramientas necesarias a las personas jurídicas para una correcta implementación del criminal compliance.

Due to the possible adoption in Peru of the criminal responsibility for companies and of the corporate compliance programs, the author analyzes the position that the United States has adopted facing the acts of corruption abroad, which legal basis is the Foreign Corrupt Practices Act. In the present article, the author will do an study of this regulation, covering its scope, who are imputable by it and the possible situations that generate criminal responsibility. All of this developed over the position taken by the jurisprudence in notorious corruption scandals. In addition, the development of the effectiveness of the compliance figure will be studied as well as the implementation of incentives for the corporations to adopt prevention policies.

Partiendo de la crítica a las ideas generales sobre las personas jurídicas, sobre todo en relación con su carácter colectivo, se hace un estudio sobre el rol de la empresa individual de responsabilidad limitada en la actividad económica moderna y la función de la transformación de esta entidad. Para ello, se consideran las necesidades e intereses del empresario, siendo que, en el fondo, la opción por una empresa con un solo miembro, o con varios, resulta siendo coyuntural. La utilidad social de la persona jurídica prima por encima de consideraciones estáticas respecto de la supuesta “naturaleza” de la institución.

In 1965 a Reforming Committee, formed by the leading specialist teachers in each of the books of the Civil Code, was created forreviewing the Peruvian Civil Code of 1936. After about twenty years, the effort of thehard work of the committee resulted in the enactment of the 1984 Civil Code, which we currently use and know. In this article, the author shares his experience as a legislator, emphasizing new and important aspects included in the Civil Code of 1984. He also proposes possible amendments to the First Book of the current Civil Code, such as the incorporation of standards related to Genetics, a comprehensive review of the subject related to legal capacity, reviewing the subject regarding foundations, among others.
