Despite increasing attention to gender diversity on corporate boards, we have only limited understanding of what occurs within the boardroom when women are present. Prior empirical research has used various theories to infer how board gender diversity may influence firm outcomes, but without identifying the theoretical mechanisms underlying women directors’ influence on the board. To address this gap, we conducted interviews with women and men who have collectively served as directors with over 200 publicly listed companies in the United States and Europe. While prior research has suggested that the diverse cognitive perspectives women directors bring influence board decision-making, our study reveals novel insights as to the underlying mechanisms. Specifically, we contribute to the board gender diversity literature with the finding that women behave in ways contrary to existing board norms. By coming to board meetings highly prepared, being willing to acknowledge that they do not know something, asking questions, and getting things on the table, women impact the dialogue and interactions in the boardroom. Thus, our study sheds light on how the presence of women influences board dynamics, which has implications for corporate governance. Our findings also challenge prevailing gender theories as to how women are likely to behave, in that we do not find that women conform to gender stereotypes. Yet, we also find impediments to women directors’ ability to gain influence, in that men directors may not always acknowledge them or afford them respect as equal board members.

This paper considers the cases of urban redevelopment at waterfront and brownfield sites in Copenhagen (Denmark) and Hamburg (Germany) to explore how two municipal governments have pursued divergent kinds of entrepreneurial governance, even as they have aimed to create similar kinds of new-build neighbourhoods. Copenhagen and Hamburg have both engaged in large-scale speculative development projects, simultaneously raising urban land values and adding urban public good. The cities follow a long tradition of using land value capture to raise funds for municipal activities, yet their scopes of action and tools for achieving progress have been shaped by local economic and political conditions. Although both cities began redevelopment at similar kinds of sites in the 1990s, Copenhagen’s municipal government was relatively impoverished, while Hamburg’s municipal government was relatively wealthy. As a result, even though both cities deployed state-owned enterprises (SOEs) and revolving funds models to reinvest revenues in future development, they possessed different potential strategies for increasing intercity competitiveness: Copenhagen’s immediate aim in redeveloping its Ørestad and harbour districts was to fund a citywide mass transit system and thereby enhance competitiveness through infrastructure development, while Hamburg sought to use its HafenCity waterfront redevelopment to boost competitiveness through port modernisation, increased in urban quality and commercial expansion in the city centre. By comparing these two cases, we can better understand the contingent nature of entrepreneurial governance and urban redevelopment processes.

To mitigate risk, should companies signal a broad range of environmental, social, and governance (ESG) initiatives or instead focus on only a few ESG issues? Drawing on signaling theory, we propose that a broad array of ESG initiatives generates not only signal consistency but also accelerating signal costs. Our empirical results support the resultant hypothesis of a curvilinear relationship between ESG scope and equity risk. In addition, this U-shaped curve seems to become steeper when firms face multiple media-reported ESG controversies. Overall, our study qualifies the conventional wisdom that firms can reduce equity risk by attending to a wide variety of stakeholders and highlights the moderating (signal-amplifying) impact of the firm’s media environment.

Previous research lags behind in illuminating theoretical mechanisms that shape governance decision-making on board practices. Using an integrated theoretical approach, I examine how board interlock network and institutional factors are associated with board governance policy adoption in nonprofit organizations. A linear regression model is employed to investigate policies adopted by a panel of public charities in three cities in Upstate New York during 2008 and 2014. Results show that not only the presence of board interlock networks but also central network positions relate to extensive policy adoption. Results also reveal that the use of paid professionals in management relates to institutional isomorphism reflected by more extensive governance policy adoption. These results provide insights for nonprofit leaders seeking to facilitate good governance practices by paying attention to board members’ affiliations and institutional environment considerations.

Freshness is a key feature of contemporary food systems, however its industrial production as a quality of food carries adverse consequences. Accordingly, this paper approaches freshness as a matter of concern. Drawing on extensive fieldwork across sites of food production and consumption in the UK and Portugal, we identify four enactments of freshness. The analysis zooms in on the specific case of plastic food packaging and uses these enactments to consider a series of questions about realities and the relationships between them. Since packaging is an issue that readily overflows to encompass a broader suite of propositions about food, we argue that freshness is a suitable focus around which to assemble hybrid forums to debate future possibilities. Joining a body of recent work that brings relational-materialist sensibilities to bear on sustainability governance, we demonstrate that these ideas are not exhausted by a concern with the ways in which existing ontologies are brought together in policy. To conclude, we suggest that attention to the multiple ontologies of qualities complements and extends approaches that focus on objects by offering a conduit that brings understandings of markets into discussions of ontological politics.

Systems drawing on databases of personal information increasingly shape life experiences and outcomes across a range of settings, from consumer credit and policing to immigration, health, and employment. How do these systems identify and reidentify individuals as the same unique persons and differentiate them from others? This article advances a general sociological theory of personal identification that extends and improves earlier work by theorists like Goffman, Mauss, Foucault, and Deleuze. Drawing on examples from an original ethnographic study of identity theft and a wide range of social scientific literature, our theory treats personal identification as a historically evolving organizational practice. In doing so, it offers a shared language, a set of concepts for sensitizing researchers’ attention to important aspects of personal identification that often get overlooked while also facilitating comparisons across historical periods, cultural contexts, substantive domains, and technological mediums.

International cooperation is high on the agenda of policy makers in times of globalisation and shared challenges such as climate change, poverty, equity or digitalisation. The present paper investigates strategies and actors involved in international cooperation policy in the field of vocational education and training within the francophone area. Using a discursive institutionalism approach as an analysis frame, the article traces and identifies the development of ideas and discourses. It also examines the changes and tensions in the French public institutional set-up in that specific policy field. The analysis builds on analysis of policy documents, mission statements of actors involved (ministries, public and private actors, non-for-profit organisations, international and European actors).

This article explores the link between modes of funding, governance and performance in higher education with the help of a case study involving three engineering colleges in West Bengal, India. It examines the major factors driving performances in the selected higher education institutions. It explains how the ability to adopt and implement performative policies depends on the objective functions, mode of funding and the reputation of the institutions. The findings suggest that the obsession with performance and its linkage with funding may not necessarily lead to a sustained and inclusive improvement in quality in the higher education sector. On the other hand, institutions driven by an objective of maximising prestige may ensure quality without any performative governance policies in place. The findings are contextualised in the larger debate about implementing neo-liberal policies for the improvement of quality in the higher education sector at the national and global level.

The burgeoning digital-platforms literature across multiple business disciplines has primarily characterized the platform as a market or network. Although the organizing role of platform owners is well recognized, the literature lacks a coherent approach to understanding organizational governance in the platform context. Drawing on classic organizational governance theories, this paper views digital platforms as a distinct organizational form where the mechanisms of incentive and control routinely take center stage. We systematically review research on digital platforms, categorize specific governance mechanisms related to incentive and control, and map a multitude of idiosyncratic design features studied in prior research onto these mechanisms. We further develop an integrative framework to synthesize the review and to offer novel insights into the interrelations among three building blocks: value, governance, and design. Using this framework as a guide, we discuss specific directions for future research and offer a number of illustrative questions to help advance our knowledge about digital platforms’ governance mechanisms and design features.

Can governance be ethical if it is not diverse? Abstract There is growing acceptance that governing boards in English schools and academies should be diverse. Yet progress towards this strategic aim remains slow despite initiatives to address this. We ask whether boards represent their communities and whether they model diverse and ethical leadership as seen in the culture and values of a school or trust and through recruitment and we argue that governance cannot be ethical if it is not diverse. Our thinking about the question at the heart of this paper is influenced by ethical leadership as well as the Black Lives Matter movement. We draw on two diverse boards, one a maintained governing board for a primary school and the other a Multi-Academy Trust board, to support our opinion and thank them for sharing their challenges and successes. We suggest ways forward to deliberately disrupt the status quo and ensure governing boards represent the students in their communities.

In this study of microfinance institutions (MFIs) and their participants, we show how certain innovations made by MFIs during the COVID-19 pandemic enable further consolidation of NGOs in Bangladeshi society. The study is based on interviews conducted in 2020 with key personnel from three major NGOs in Bangladesh: Grameen, Sajida Foundation, and Brac (which is also the largest NGO in the world), as well as 20 interviews conducted in 2018 (before the pandemic) with microcredit recipients who use financial services. We observed that MFIs scaled up by taking on the function of relief provision, financial services became more entrenched, and NGO governance was bolstered as MFIs served as intermediaries between the state and people, even though, as the 2018 interviews reveal, microfinance participants were reticent about technology uptake. Prior research has documented involvement of government and civil society actors in governance processes, but has largely neglected a key player: corporate business interests. Combining insights from social-ecological systems, organizational systems theory, theories of governance and power, interest group rule-making participation, and non-state alternative environmental governance, we examine corporate involvement and power in environmental governance systems. Drawing on a sample of Twitter messages about fuel economy standards, posted between 2012 and 2020, we offer a sector-level discourse analysis of corporate power and its interaction with the sociopolitical environment. The results suggest that business interests are gaining increasing power in the participation arena of U.S. fuel economy governance processes. The results likewise indicate corporations’ response to a changing political landscape in the U.S. Taken together, our analysis advances current scholarship on power dynamics in governance processes and on empirical assessment of power, offering implications for governance system design and implementation.

As part of the current Review of Education Governance in Scotland, the Headteachers’ Charter is perceived as a central policy solution. The Charter changes the responsibilities of the headteacher by altering the relationship between headteacher and local authority, and thereby bringing about changes to the governance of education. If these changes are perceived as the solution, what is the perceived policy problem? This article examines policy documents to explore the policy problem using Bacchi's (2012a) ‘what's the problem represented to be’ (WPR) approach, which uses a framework of six questions to analyse policy texts. The article begins with a brief overview of the policy programme, the ‘Empowerment Agenda’. The article discusses Bacchi's WPR analysis framework and then presents the findings, using this framework. The article ends with a discussion of the impact of the reform of educational governance including the Headteachers’ Charter on the role of the headteacher.

Although governance systems play a crucial role in securing an accountable public sector, they can grow overly resource demanding, cause problematic distortion of welfare tasks and crowd out motivation among employees. This study contributes to existing literature by conceptualizing co-creation as a pathway for solving dysfunctionalities in governance systems and explores the prospects of such an approach. Based on a case study of the development of a municipal supervision system, the study outlines the characteristics of co-creating governance systems. The results points to co-creation as a promising, although resource demanding, pathway for finding robust solutions to dysfunctionalities in governance systems.

Introduction The pollution of landscapes and coastal environments with plastic shopping bag litter is an escalating global problem. The introduction of plastic bag tax aimed at addressing this challenge achieved limited success in South Africa. This study explores South African shoppers’ perceptions towards social marketing anchored retailer voluntary initiatives, which is an emerging plastic bag policy option. Literature Adverse environmental and social effects of plastic shopping bags are discussed. Retailer voluntary initiatives used to de-market plastic shopping bags, including jurisdictions where they were implemented, are also reviewed. The focus is on retailer anti-plastic bag initiatives such as ‘reusable shopping bags’ and ‘plastic bag-free’ shops. Methods This study is situated within a constructivist research paradigm and a qualitative methodology. Data were collected from a sample of 31 grocery shoppers recruited from retailer outlets in South Africa’s metropolitan cities, Johannesburg and Pretoria. In-depth interviews were conducted to explore shoppers’ perceptions towards retailer-driven anti-plastic bag voluntary initiatives. Thematic content analysis was used to analyse interview data. Findings The findings of this study highlight shoppers’ negative perceptions towards retailer anti-plastic bag voluntary initiatives. Shoppers perceived retailer anti-plastic bag voluntary initiatives as forms of green capitalism, green entrepreneurship, symbolic corporate social responsibility, strategic business posture, commandeered green consumerism, measured environmental morality, masked green washing and calculated pre-emptive behaviour. Future studies may seek to extend the generalisability of these findings by using a larger sample size. Conclusion The study’s findings highlight the trust deficit associated with retailer anti-plastic bags voluntary initiatives and the importance of enhancing market acceptance and legitimacy. Mistrust and cynicism directed towards retailer anti-plastic bag voluntary initiatives point to the importance of consumer education aimed at emphasising the negative effects of single-use plastic shopping bags. This study concludes that reliance on retailer self-regulation may not be the best approach to solve the escalating problem of plastic bag litter. We argue that national governments need to implement interventions that strike a balance between environmental sustainability and economic development.

Picking up on the manifestation of state intervention following the 2008 financial crisis, we argue that the recent trend towards remunicipalisation underlines but also problematises the thesis of new state capitalism. Remunicipalisation refers to a process whereby towns, cities and sub-national regions take previously privatised services and infrastructures back into public ownership. Remunicipalisation has led to the emergence of regionally- and municipally-owned state enterprises across a wide range of sectors including water, energy, waste, transport, education, (tele)communications, and health and social care. Engaging with the nature of the ‘new’ state capitalism, and particularly challenging its theoretically restrictive understanding of the state as ‘market enabler’, we highlight that remunicipalisations have often emerged in response to the failed promise of neoliberal capitalism to improve the quality and efficiency of public services through the (supposed) competitiveness of the free market. Like neoliberalism, remunicipalisations take spatially diverse and variegated forms as market-driven logics interact with other political and economic determinations. As such, remunicipalisations often encompass critiques of neoliberal governance and market volatility, and instead focus on the potential of regional wealth creation as well as stabilising local market dynamics through diversifying ownership forms. Drawing upon our ongoing empirical work on German remunicipalisation, we aim to foreground how multiple determinations at work in the German political economy at different spatial scales shape its particular trajectory out of neoliberal mutation. We show how the remunicipalisation of energy provider TEAG has enabled the local state to intervene and diversify the uneven economic geographies in the state of Thuringia.

This study examines the relationship between governance, foreign direct investment (FDI), and tourism demand. Rather than treating governance as a direct determinant in a tourism demand model, the multifaceted nature of this concept is recognized and nested in the broader supply-side environment of a destination. Reducing five World Governance Index (WGI) dimensions into one holistic governance measure, which is then utilized as an instrument and operates through FDI, this study incorporates the indirect impact of governance on tourism demand in a two-stage least square (2SLS) regression model. The key findings demonstrate that governance is positively associated with FDI accumulation and that this effect is positively conducive to tourism demand. The results suggest a development strategy for building a competitive and sustainable tourism industry should be encompassed in a broader project of enhancing the political-economic environment of the destination.

Governance is a polysemic prescription for contemporary government and at an urban level has been instrumental in some radical and often striking reshaping of cities. This paper examines the interests and power structures behind those changes through the critical examination of the case of Medellin, Colombia, until recently a model of “good governance,” internationally acknowledged for its early millennium transformation from “murder capital to model city.” Based on extensive literature reviews and interviews, we unveil the forces underlying concrete governance practices. Major characteristics emerging from this perspective concern i) market hegemony, ii) the disempowerment of grass-roots movements and iii) the influence of illegal actors in the complex and shifting dynamics within and between the city's major players. The notion of both “good governance” and model practice are strongly revisited.

The governance of land is central to the political economy of development. In India, The schedule areas are demarcated primarily for the development of adivasis who are officially classified as Scheduled Tribes (STs)/and protection of culture through special legal and administrative provisions in the form of fifth and sixth schedule. The article aims to understand and analyse the land governance in the areas of Fifth Schedule with specific reference to the Chhattisgarh State. It explores the role of Governor in preventing the land alienation. The main data sources include the agriculture census, diversion of forest land for the development projects including the mining along with cases of PESA and FRA using a process tracing methodology. The gradual decline in the size of average land holdings indicates the failure of land governance. There is a need to clear the legal ambiguity between the provisions of Fifth Schedule with particular reference to the role of Governor to establish peace and good governance.

It has been of great concern for policymakers and government officials to increase the economic trajectory of living standards. Tourism development over the years is outlined in the extant literature as an alternative pathway to sustainable development. However, there has been no consensus on the combined impact of institutional quality and key macroeconomic indicators and how they moderate tourism development and eradicate poverty. Thus, there is a need to eradicate extreme poverty and achieve Sustainable Development Goals (SDGs) by the end of 2030 to remain focused on areas for policymakers and researchers. To achieve this goal, this study examines the moderating effect of governance quality on the relationship between tourism and poverty alleviation using a panel of 15 Latin American countries over the period 2003–2015 using fixed effect (FE) as an estimation technique. For soundness of analysis, we applied the Panel Corrected Standard Errors (PCSE) model estimation, the two-system generalized method of moment (GMM) model estimation in this study. Our findings show that governance quality contributes to poverty reduction, while tourism development exacerbates poverty. Interestingly, the results reveal that tourism and governance quality have complementary impacts in alleviating poverty. Further, policy prescriptions are outlined in the concluding section.

The main goal of this article is to analyse the Non-Partisan School movement (EsP, or Escola sem Partido) which articulates social and political actors around a conservative agenda for education in Brazil. Based on Ball’s studies, this article analyses political governance networks using a free software, GEPHI, using a qualitative network methodology. The article analyses some relevant social actors in this conservative initiative. The research shows that the Non-Partisan School, though presented as an initiative against ideological indoctrination, is in fact the result of a strong combination of ideological, conservative and partisan interests. The article shows that EsP is a conservative agenda among other movements in the struggle for ideological hegemony in the educational field.

Informed by different grassroots learning and educational practices engaged in waste management, and drawing from the concepts of insurgent citizenship and environmental stewardship, we examine the role of waste picker organizations and movements in creating new pathways towards more sustainable environmental waste governance. Two case studies (Argentina and Brazil) demonstrate how waste pickers inform and educate the general public and raise the awareness of socio-environmental questions related to waste management. Different educational practices are used as strategies to confront citizens with their waste: to see waste as a consumption problem, resource, and income source. Our paper draws on grassroots learning (social movement learning and insurgent learning) and education (stewardship) aimed at the transformation of waste practices. We argue that waste pickers play an important role in knowledge production promoting recycling, in landfilling less and recovering more resources. We conclude that waste pickers act as insurgent citizens and also are environmental stewards.

This paper explores the intersections and overlaps between state capitalism and global production networks. A key feature of the so-called new state capitalism is the combination of state ownership and corporatisation, which creates a system that can be characterised as a hybrid of public–private governance in both corporate and network terms. Moreover, the internationalisation of state hybrids adds an extraterritorial dimension to the state, which can influence the configuration and governance of global production networks. This paper develops a conceptual framework (H–E–N) that foregrounds the relationships between hybrid governance (H), extraterritoriality (E) and global production network configurations (N), thereby promoting an integrated analysis of the implications of the new state capitalism for global production networks. This framework is mobilised to explain how state capitalism in Singapore has influenced the development of the city-state's position in upstream, midstream and downstream oil global production networks over the 1959–2019 period. The study demonstrates that hybrid governance, as part of a wider strategy of state capitalism, has been critical in the development of Singapore's position in oil global production networks. The hybrid nature of the institutional forms associated with state ownership – for instance state-owned enterprises and sovereign wealth funds – goes beyond market facilitation to encompass active state participation in markets. Hybrid governance not only allows the state to influence domestic outcomes but – through the extraterritorial strategies of hybrid entities – can also influence global production network configurations beyond its borders.

The Sustainable Apparel Coalition’s Facility Environmental Module (FEM) is one of the world’s most advanced “data-driven governance” initiatives. The FEM represents an important new strategy in the governance of Global Value Chains. This article reports on a multi-year study to evaluate how firms have implemented the FEM, and whether and under what conditions it leads to improvements in factory performance. It finds that while the FEM represents an important step in improving environmental measurement systems, the program currently acts like a “scale without a diet.” Companies are now better able to measure performance, but many have not implemented the mechanisms needed to motivate systematic improvements. This article offers recommendations for how to strengthen data-driven governance systems and explores their implications for managers.

This research study explored the link between corporate governance practices (CGPs) and organisational performance in India, especially in the context of some major CG reforms that have been undertaken since the turn of the twenty-first century. The authors also attempted to understand in-depth the implications of these reforms for the companies. For assessing the link between CG practices and organisational performance, data were collected from a sample of 100 listed companies in India using an adapted version of the Institute of Company Secretaries of India (ICSI)’s questionnaire. Multilevel Factor Analysis (MFA) for scores along 5 CG sub-categories revealed 17 first-level and 4 second-level factors. Regression of organisational performance, measured using Compound Annual Growth Rate (CAGR), against these factors showed that the first-level factor representing corporate social responsibility and sustainability (CSRS) was a significant predictor of organisational performance. This finding is significant while considering the introduction of mandatory CG provisions for corporate social responsibility (CSR), applicable to companies meeting specified turnover and profitability thresholds according to CG regulations in India. The findings of this study open the debate on CG regulation and on mandatory and desirable norms in the Indian context. Eligible Indian companies must focus on the CG practice of investing in CSR initiatives through purpose-led CSRS interventions and their long-term benefits, rather than on viewing it as a mandatory CG provision that induces short-term expenses.

Utilizing the set of World Governance Indicators published by the World Bank, this paper finds that scoring highly in an indicator measuring respect for rule of law and control of corruption is associated with fewer athletes disqualified and higher medal shares at the Summer Olympics from 1996–2016. Notable reductions in disqualifications and increases in medal shares occur at coincident percentile ranks in the aforementioned indicator, with nations at the 67th percentile rank and above having a 13.8% higher probability of medaling and a 12.11% lower probability of having an athlete disqualified. These results uncover a new link between governance and Olympic success and provide support for the existing anti-doping rules and enforcement as, ceteris paribus, it would seem that nations whose athletes respect and abide by the rules achieve higher medal shares than those whose athletes do not.

Transnational regional networks of regulatory bodies play a prominent role in complex systems of human rights governance. Despite their growing importance, we still have much to learn about the roles regional networks play as regulatory stewards in the field of human rights. I draw on the literature about regulatory stewardship to analyse a recently formalised regulatory network operating in Europe – the European Network of National Human Rights Institutions. The analysis proposes a model of global governance for human rights that includes networks of national human rights institutions as intermediaries. Moreover, it draws on some of the main concepts of network analysis to assesses the European network’s development into a ‘network administrative organisation’ and applies the model of regulatory stewardship to analyse the institutional network’s use of hierarchical and managerial stewardship to: support its member institutions; stimulate intra-network communication and learning; gain access to international networks; and to shape the regional human rights agenda.

The survival of neoliberal forms of governance after their apparent repudiation during the Global Financial Crisis is a problem that continues to generate significant scholarly controversy. One of the most influential accounts of the survival of neoliberalism in the crisis draws on Michel Foucault’s The Birth of Biopolitics to claim that states intervening to support financial markets during the crisis was simply the neoliberal system working as expected. Returning to Foucault’s original text, I argue this account constitutes a systematic misreading because it treats Foucault as having developed an instrumentalist theory of the neoliberal state, a possibility Foucault explicitly rejected. I suggest that the reasons that led Foucault to reject an instrumentalist theory of the state remain just as relevant today, and accordingly argue for a return to Foucault’s methodological decision to treat neoliberalism not as a theory of state but as a discourse which constructs a novel bio-political governmentality.

Large corporations dominate economic and social life in the United States and around the globe. The mainstream corporate governance ideology of “shareholder primacy” claims that the exclusive purpose of a corporation is to generate returns for shareholders, which means that governance decisions should be exclusively in their hands. However, shareholder primacy lacks a theory of how companies innovate, and instead focuses solely on allocation of corporate profits, misunderstanding the relationship of shareholders to the twenty-first-century corporation. The theory of the corporation as an innovative enterprise—engaged in productive innovation by producing higher-quality goods and services for lower unit costs—is an accurate way to understand what makes corporations successful producers. Stakeholder theory from progressive legal scholarship illustrates specific corporate governance institutions that can assist innovation, including fiduciary duty, stakeholder participation in decision making, and equity ownership. This article contributes to the growing literature refuting shareholder primacy by utilizing the theories of the innovative enterprise and multi-stakeholder governance to propose reshaping US corporate governance to better to serve innovation in production and a balance of power in distributional decision making.
