Abstract

The article discusses the Bombay High Court's decision in Godrej Industries Ltd. case based on the Indian Companies Act 2013 that has revised the concept of virtual shareholder meeting. Topics discussed include revision of the provisions of voting through postal ballot and electronic voting in Companies Act, concept of good corporate governance linked with the virtual shareholder meeting and Securities Exchange Board of India (SEBI) circulars that permitted conducting voting by postal ballot.
