Abstract: This paper examines the determinants of stock option introduction as a part of CEO compensation in listed US firms during the 1994–2004 period. The results are consistent with agency costs and recruiting considerations, suggesting that firms do not adjust CEO compensation in order to address the ‘investment horizon’ problem. The findings also suggest that CEO stock option adoption is not necessarily influenced by the same factors that have been found in the literature to affect the level of CEO stock option compensation and the adoption of broad-based stock option incentives. Overall, the findings provide evidence for several theoretical predictions, thus adding to our understanding of managerial incentives. [Copyright &y& Elsevier]

This paper investigates the relationship between labor, shareholders, and CEOs to reflect the simultaneous rise in share repurchases after 1980, the increasingly exploitative outcomes for labor, and the rise of CEO compensation. This paper finds that while institutional investors may have pressured firms to be more profitable, they were not powerful enough to appropriate all of the gains. Rather, capitalists (CEOs) have been able to partially co-opt the shareholder value movement at the expense of both labor and shareholders. The article discusses executive compensation with a focus on Lino Saputo, chairman of Montreal-based Saputo Inc., and Eugene Melnyk, chairman and CEO of Biovail Corp. Few things annoy shareholders more than seeing executives, in whose companies they have invested their hard-earned dollars, gorge themselves at the corporate dinner table as the stocks languish. While "pay for performance" is the mantra of most CEOs, for the most part the reality is that their pay continues to rise, despite performance. Take Lino Saputo, who stepped down as CEO in March, passing the baton to his son Lino Saputo Jr. Under the elder's reign, Saputo Inc. grew from a small family operation to one of the largest cheese producers in North America--and has rewarded shareholders amply. Compare that to Eugene Melnyk's Biovail, which is currently fighting a rash of shareholder lawsuits over the company's lacklustre performance during the past three years. Biovail shares have been dragged down by revelations that the pharmaceutical company is the subject of both an Ontario Securities Commission investigation of "suspicious" trading activity and an investigation by the U.S. Securities and Exchange Commission into its accounting and financial reporting practices. At Saputo Inc., there is a complete alignment between the interest of common shareholders and management, says David Newman, an analyst at National Bank Financial in Toronto. The lack of stock options sets Lino Saputo apart from most other Canadian CEOs. In contrast with Lino Saputo, Biovail's controversial chairman and CEO is regularly granted millions in options, cheap loans and even a private jet and plain cash--in addition to the billions in stock he controls.

The article observes that the pay gap between British and American bosses is shrinking. Although salaries for British chief executive officers (CEOs) are about 20% higher than for Americans, they are becoming less important as a component of pay, accounting for 52% of total compensation in 1997, but only 41% in 2003. That is closer to the American model, where CEOs are paid relatively small salaries and make most of their money from variable pay like bonuses and stock options. New tax rules in Britain have made stock options an attractive option for boards, and new corporate governance laws, enacted earlier than America's Sarbanes-Oxley act, may have led chief executives to demand higher pay in return for extra responsibilities. Seeking talent from outside a firm has become more common, and tends to be more expensive. But the main reason, says author Graham Sadler, is globalisation. The market for CEOs has become one of the world's few truly global labour markets, and price differences are therefore eroding.

In 2001 nine executives cashed in stock options worth more than $100 million. Bonuses are largely in the control of a company's compensation committee, a small group of non-executive board directors.
