Целью исследования является оценка влияния демографических и профессиональных характеристик руководителей промышленных предприятий на их цифровизацию для выработки рекомендаций по повышению успешности реализации цифровой трансформации российских компаний. Объект исследования. В качестве объекта исследования послужили российские предприятия обрабатывающей промышленности. Предмет исследования. Предметом исследования является механизм взаимосвязи персональных характеристик руководителя и цифровизации промышленных предприятий. Методология исследования. Теоретической и методологической основой исследования послужили теория высших эшелонов, и агентская теория. Для эмпирического анализа был построен порядковый логит. Информационная база исследования была составлена автором на основании данных опроса RUFIGE и базы данных Bureau van Dijk RUSLANA. Научная новизна. Научная новизна исследования заключается в том, что было произведено развитие теории «высших эшелонов», но в отличие от авторов, которые изучают отдельные личные характеристики руководителей, в данном исследовании характеристики были рассмотрены в совокупности (демографические и профессиональные).Данное исследование является одним из немногих в России, так как анализирует предприятия обрабатывающей промышленности с использованием эконометрической модели, которое одновременно рассматривает множество персональных характеристик генерального директора и их влияние на цифровизацию предприятий. Практическая значимость исследования. Практическая значимость исследования состоит в том, что его результаты и представленные рекомендации могут быть способствовать совершенствованию процессов внедрения цифровых технологий в производственные процессы. The purpose of the study is to assess the impact of demographic and professional characteristics of managers of industrial enterprises on their digitalization in order to develop recommendations to improve the success of the digital transformation of Russian companies. Object of the study. The object of the study is the Russian enterprises of the manufacturing industry. Subject of the study. В течение последнего десятилетия значительная доля сделок по слияниям и поглощениям была обусловлена быстрым развитием передовых технологий. Передовые технологии – и в их числе цифровые технологии – стали движущей силой возможностей неорганического роста для компаний. Однако до сих пор остаётся неизученным то, как сделки слияний и поглощений в целом (не только в высокотехнологичных отраслях, или сделки с целями, имеющими цифровые технологии) влияют на цифровизацию компаний и на уровень её цифровой трансформации. Целью данной работы является оценка влияния активности компании на рынке сделок слияний и поглощений на глубину её цифровизации. Объектом исследования послужила выборка из 1242 российских промышленных компаний. Выбор компаний был обусловлен тем, что каждая из них обладает некими цифровыми компетенциями (технологиями), которые являются основой данного исследования. Предметом исследования является механизм взаимосвязи между активностью компании на рынке сделок слияний и поглощений (в виде факта участи в сделке M&A) и глубиной цифровой трансформации этой компании. Новизна исследования заключается в том, что было проведено первое подобное исследование по крупным российским компаниям, оперирующим в 20 отраслях промышленности, с использование эконометрическое модели, которая одновременно рассматривает множество факторов, влияющих на глубину цифровой трансформации. Практическая значимость исследования состоит в том, что его результаты и представленные рекомендации могут быть полезны для собственников компаний, планирующих сделку слияний и поглощений в эпоху цифровизации, а также для органов государственной власти, активно поддерживающих и развивающих цифровизацию в нашей стране. Over the past decade, a significant share of M&A has been driven by rapid advances in advanced technology. Advanced technologies - and digital technologies among them - have become the driving force behind inorganic growth opportunities for companies. However, how M&A deals in general (not only in high-tech industries, or deals with targets with digital technology) affect the digitalization of companies and its level of digital transformation remains unexplored until now. The purpose of this paper is to assess the impact of a company's activity in the M&A market on the depth of its digitalization. A sample of 1,242 Russian industrial companies was used as an object of research. The choice of companies was due to the fact that each of them has some digital competencies (technologies), which are the basis of this study. The subject of the study is the mechanism of relationship between the activity of the company in the M&A market (in the form of the fact of participation in the M&A transaction) and the depth of digital transformation of this company. The novelty of the study lies in the fact that the first such study was conducted on large Russian companies operating in 20 industries, using an econometric model that simultaneously considers many factors affecting the depth of digital transformation. С развитием цифровых технологий традиционная система ведения бизнеса была разрушена, и сейчас многие компании больше, чем когда-либо, должны реагировать на цифровизацию. Цифровая трансформация привносит инновации не только в поставку продукта, но и в то, как сегодня ведется бизнес. Очевидно, что пандемия COVID-19 изменила нашу жизнь, и можно точно сказать, что деловая деятельность и бизнес-модели в той или иной форме подверглись цифровой трансформации в связи с пандемией COVID-19. Основной целью данной исследовательской работы было определить, как цифровая трансформация, вызванная пандемией, изменила бизнес-модель выбранной компании в Екатеринбурге, Россия, уточнить определение цифровой трансформации, проанализировать структурированный подход к цифровой трансформации, а также подход, этапы, деятельность и результаты. Поскольку выбранная компания работает в сфере развлечений, данная исследовательская работа представляет собой тематическое исследование. Основные виды деятельности и элементы бизнес-модели выбранной компании до и во время пандемии будут определены с помощью Business Model Canvas, а подход компании к цифровой трансформации будет изучен и проанализирован, чтобы дать дальнейшие рекомендации для других компаний, стремящихся улучшить или изменить свою бизнес-модель посредством цифровизации из-за пандемии COVID-19. With the evolution of digital technologies, the traditional system of doing business has been fractured and many companies now more than ever must react to digitalization. The digital transformation brings innovation not only into the delivery of the product but to the way businesses are conducted nowadays. It is evident that the COVID-19 pandemic has changed our lives, and it is accurate to say that business activities and business models have undergone some form of digital transformation due to the COVID-19 pandemic. The main goal of this research paper was to identify how the digital transformation that was caused by the pandemic has changed the business model of a selected company in Yekaterinburg, Russia, clarify the definition of digital transformation, analyze the structured approach to digital transformation as well as the approach, phases, activities, and results. Because the selected company is operating in the entertainment sector, this research paper is a case study. The basic activities and elements of the business models of the selected company, before and during the pandemic will be identified using the Business Model Canvas, and the company’s approach to digital transformation will be examined and analyzed, in other to make further recommendations for other companies looking to improve or change their business model through the digitization because of COVID-19 pandemic. The knowledge gained in this research shows how the digital transformation changed/improve the business model of the selected company. Российская Федерация является одним из ведущих мировых производителей стали. Металлургическое производство в России выросло на 2,6%, занимала четвертое место млн т пропустив вперед Китай, Японию, Индию, опередила США по сравнению с 2019 годом. Цель магистерской диссертации состоит в поиске направлений повышения конкурентоспособности промышленного на внешнем рынке, на примере ПАО «Трубная Металлургическая Компания». В частности была проведена оценка финансово-экономической деятельности и анализ международная конкурентоспособность. Анализ финансово-экономической деятельности ПАО «ТМК» позволил выявить в контексте повышения конкурентоспособности сильные и слабые стороны предприятия. К сильным сторонам можно отнести: соответствие показателей ликвидности нормативным значениям, т. е. предприятие в состоянии в срок рассчитываться по краткосрочным обязательствам; хорошая финансовая устойчивость; рентабельность продукции. К слабым сторонам можно отнести: значительную зависимость от кредиторов по причине недостатка собственного капитала; отрицательную динамику изменения собственного капитала, при том, что активы существенно увеличились. Выявлены основные факторы, оказывающие влияние на деятельность компании в сравнении с основными конкурентами Tenaris LLC и Evraz, далее выделены проблемы и очерчены контуры их решения в контексте повышения конкурентоспособности компании. Для дальнейшего развития компании и повышения ее конкурентоспособности на российском и зарубежном рынках необходимо решения таких ключевых проблем, как: необходимость повышения степени доступа к внешним рынкам и производственной гибкости предприятия. Одним из направлений повышения конкурентоспособности для ПАО «ТМК» и повышения доступности внешних рынков может стать объединение усилий с одной из компаний-конкурентов. Другим направлением повышающее конкурентоспособность, является наращивание коммуникационной активности на внешнем рынке за счет улучшения интернет-магазина TMK eTrade. The Russian Federation is one of the world's leading steel producers. Metallurgical production in Russia grew by 2.6%, ranked fourth in million tons, leaving China, Japan, India ahead, ahead of the United States compared to 2019. The purpose of the master's thesis is to find ways to increase the competitiveness of industrial in the foreign market, as exemplified by PJSC "Pipe Metallurgical Company". In particular, an assessment of financial and economic activities and an analysis of international competitiveness were carried out. Analysis of the financial and economic activities of PJSC "TMK" made it possible to identify the strengths and weaknesses of the enterprise in the context of increasing competitiveness. The strengths include: compliance of liquidity indicators with standard values, ie, the company is able to settle on time for short-term liabilities; good financial stability; profitability of products. Weaknesses include: significant dependence on creditors due to lack of equity capital; negative dynamics of changes in equity capital, despite the fact that assets have increased significantly. The main factors influencing the company's activities in comparison with the main competitors Tenaris LLC and Evraz are identified, the problems are further highlighted and the contours of their solution in the context of increasing the company's competitiveness are outlined. For the further development of the company and increasing its competitiveness in the Russian and foreign markets, it is necessary to solve such key problems as: the need to increase the degree of access to foreign markets and the production flexibility of the enterprise. Актуальность данной работы заключается в поиске конкурентоспособ-ной стратегии развития отечественных авиакомпаний путем трансформации бизнес-модели для увеличения прибыли и снижения затрат. В результате, находясь в жесткой конкуренции, многие авиакомпании отходят от канонов классической и бюджетной бизнес-моделей. Объектом исследования является авиакомпания ПАО «Аэрофлот». Предметом исследования являются направления трансформация эле-ментов бизнес-модели авиаперевозчика для формирования конкурентоспо-способной стратегии развития. В связи с этим цель выпускной квалификационной работы – оценить, позволяет ли предпринимаемая трансформация бизнес-модели крупнейшей российской авиакомпании ПАО «Аэрофлот» создать конкурентоспособную стратегию развития в условиях глобальной конкуренции. The subject of the research is the direction of transformation of elements of the air carrier's business model to form a competitive development strategy. Интерес к вопросу выбора эффективной модели корпоративное управления не спадает вот уже три десятилетия. Причиной этому стали крупные события и тенденции, повлиявшие на развития мировой экономики: мировая волна приватизации последних трех десятилетий; волна поглощения в 1980-х годах; дерегулирование и интеграция рынков капитала; кризис в Восточной Азии 1998 г., который поставил в центр внимания корпоративное управление на развивающихся рынках (страны БРИК); скандал с Enron и его банкротство вызвали серьезные сомнения в защите инвесторов в США и привели к еще большему реформированию и регулированию финансового рынка во всем мире. Эффективная система корпоративного управления призвана обеспечить успешное долгосрочное развитие экономики стран, привлечь инвестиции и повысить доверие инвесторов. Объектом исследования являются механизмы корпоративного управления стран БРИК и условия их формирования. Предметом исследования являются особенности национальных моделей корпоративного управления в странах БРИК. В связи с этим цель исследования – на основе сравнительного анализа выявить основные особенности национальных систем корпоративного управления в странах БРИК для разработки рекомендаций по политике их совершенствования. Были получены следующие выводы: Сформулированы ключевые характеристики и особенности страновых моделей корпоративного управления. Выявлены, что для всех стран БРИК характерна достаточно высокая концентрации собственности, инсайдерский контроль. Найдены ключевые недочеты в имплементации принципов корпоративного управления: прозрачности и раскрытия информации, защиты прав акционеров, гендерного разнообразия советов директоров, выполнения рекомендаций по доле независимых директоров. Выявлен критерий эффективности стран (совокупные инвестиции) и разработаны рекомендации по их совершенствованию. An effective corporate governance system is designed to ensure the successful long-term development of countries' economies, attract investment and increase investor confidence. The object of the research is the corporate governance mechanisms of the BRIC countries and the conditions for their formation. The subject of the research is the peculiarities of national models of corporate governance in the BRIC countries. In this regard, the purpose of the study is, on the basis of a comparative analysis, to identify the main features of the national systems of corporate governance in the BRIC countries in order to develop recommendations for the policy of their improvement. The following conclusions were obtained. Formulated key characteristics and features of country models of corporate governance. It was revealed that all BRIC countries are characterized by a fairly high concentration of ownership, insider control - It was found key gaps in the implementation of corporate governance principles: transparency and disclosure of information, protection of shareholders' rights, gender diversity of boards of directors, implementation of recommendations on the share of independent directors. The digital economy as a priority of the informatization strategy of the Russian economy for 2016–2022: by a resolution of the Government of the Russian Federation, an order was adopted to approve the Digital Economy of the Russian Federation program dated July 28, 2017. 70% of the document flow should be converted into electronic form for this period. The aim of the study is to develop measures for the development of remote access to banking services in order to increase the competitiveness of the Point bank. The scientific novelty lies in the fact that the breadth of the introduction of innovative banking products was determined depending on the model of remote banking services adopted by the bank (hereinafter RBS), as well as ways to increase the competitiveness of the RBS system were identified. Based on a survey of employees and customers of 50 Russian banks (first half of 2019), it was determined that 2.70% of the banking sector of the Russian Federation is provided by the banking system. The emergence of a new business model of the bank reduces the cost of banking services and creates additional competitive advantages for customers. According to the map of strategic groups, the Tochka bank is a direct competitor of Sberbank in the field of banking and banking services. The effects of the introduction of RBS in the Point bank are: an increase in the productivity of managers working with clients; 40% reduction in maintenance costs; increase the availability of services. Научная новизна состоит в том, что была определена широта внедрения инновационных банковских продуктов в зависимости от принятой банком модели дистанционного банковского обслуживания (далее ДБО), а также определены способы повышения конкурентоспособности системы ДБО. На основании проведенного опроса сотрудников и клиентов 50 российских банков (первая половина 2019 года) было определено, что 2,70% банковского сектора РФ обеспечивают ДБО. Появление новой бизнес-модели банка снижает себестоимость банковских услуг и создает для клиентов дополнительные конкурентные преимущества. Согласно карте стратегических групп, банк Точка является прямым конкурентом Сбербанка в сфере ДБО. Эффектами от внедрения ДБО в банке Точка являются: увеличение производительности труда менеджеров по работе с клиентами; сокращение расходов на обслуживание на 40%; увеличение доступности услуг. The relevance of the topic is due to the need for the head of the Russian branch of a cross-cultural company to make decisions on the implementation of the best way to manage personnel: the optimal leadership model, the correct incentive schemes for employees, an adequate reporting system and performance monitoring, helping to form and maintain an effective work team capable of fulfilling the tasks set. The purpose of the thesis is to identify the features of the adaptation of the values of corporate cultures of Western companies to their Russian divisions in order to improve the personnel management system. The main results of the work are as follows. Most European models of building organizational culture are being introduced and adapted in Russia quite successfully, provided that the company has selected personnel with a certain European mentality and psychological characteristics. When developing managerial decisions, the manager should take into account the peculiarities of the Russian mentality and, above all, the tendency to collectivism and erosion of personal responsibility, as well as a high degree of emotional closeness of employees, when personal personal qualities are sometimes put at the expense of business qualities. Актуальность темы обусловлена необходимостью принятия руководителем российского филиала кросс-культурной компании решений о реализации наилучшего способа управления персоналом: оптимальной модели руководства, корректных схем стимулирования сотрудников, адекватной системы отчетности и контроля результатов, помогающих формировать и поддерживать эффективную рабочую команду, способную обеспечить выполнение поставленных задач. Цель диссертации – определить особенности адаптации ценностей корпоративных культур западных компаний в их российские подразделения с целью совершенствования системы управления персоналом. Большинство европейских моделей построения организационной культуры внедряются и адаптируются в России вполне успешно при условии, что в компанию подобран персонал с определенной европейской ментальностью и психологическими особенностями. Актуальность темы исследования обусловлена ростом количества смен топ-менеджеров как в российских, так и в зарубежных компаниях, и очевидной связью между основными экономическими показателями фирмы (доходность акций, рентабельность активов, прибыль, динамика выручки и др.) и этими сменами топ-менеджеров. Цель диссертации – выявить и сравнить факторы, влияющие на смену топ-менеджеров в российских и зарубежных компаниях нефинансового сектора. Научная новизна исследования заключается в том, что были изучены более новые данные, т.к. большую часть исследовательской базы составили данные российских и зарубежных компаний за 2015–2016 гг., т.е. годы не начала экономического кризиса, а явной стагнации в российской экономике. Собранные данные показали, что акционеры-собственники, реагируя на негативную динамику основных показателей, либо меняли своих топ-менеджеров, в единичных случаях вынуждены были либо продавать контрольные пакеты акций своих компаний, либо объединяться с другими компаниями, т.е. запускать процессы слияния или поглощения. Тем не менее, к таким радикальным мерам прибегала лишь малая часть исследованных компаний, большинство же из них пыталось выправить ситуацию внутри компании путем смены руководства. Кроме того, удалось сравнить частоту смены топ-менеджеров в различных компаниях по результатам двух крупных экономических кризисов: 2008 года и 2014 года. Практическая значимость исследования обусловлена тем, что выводы, сформированные в результате исследования, позволяют выработать рекомендации по совершенствованию механизмов корпоративного управления в части мониторинга деятельности топ-менеджеров. The purpose of the thesis is to identify and compare the factors affecting the change of top managers in Russian and foreign companies in the non-financial sector. The scientific novelty of the research lies in the fact that newer data has been studied, since Most of the research base was made up of data from Russian and foreign companies for 2015–2016, i.e. The years did not start an economic crisis, but an apparent stagnation in the Russian economy. The collected data showed that the shareholders, in response to the negative dynamics of the main indicators, either changed their top managers, in isolated cases they had to either sell controlling stakes in their companies, or merge with other companies, i.e. launch merger or acquisition processes. Nevertheless, only a small part of the companies studied resorted to such radical measures, most of them tried to rectify the situation within the company by changing top-managers. In addition, it was possible to compare the frequency of change of top managers in different companies based on the results of two major economic crises: 2008 and 2014. The globalization of negotiation, and the emergence of new companies operating in the international market, actualize the problems of studying national styles of negotiation. The subject of the theses is the specificity of negotiating Russian companies with companies from China and Iran, which is due to the development of Russia's economic cooperation with these countries. Information base of a research are 6 indexes Hofstede across China and Iran of measurements of culture, statistical data for definition of the population of the countries and a share of the agrarian population of China, data on the Uralmekhanobr company: the balance sheet for the analysis of activity of the company for 2015 and 2016 given deep interviews of staff of the company. Main results of the theses are: classification of formal and substantial characteristics of business negotiations is given; the common and distinctive features inherent in these cultures are revealed; recommendations about behavior are made during business negotiations with partners of China and Iran; the hypothesis of the importance of cross-cultural factors for success of negotiations and financial results of activity of the company is confirmed. Актуальность темы магистерской диссертации заключается в том, что на сегодняшний день процессы иностранного инвестирования в российскую электроэнергетику необходимы для проведения дальнейших преобразований отрасли, требующихся для повышения ее эффективности, обновления основных мощностей, обеспечения надежности и безопасности энергоснабжения потребителей. Целью исследования является обоснование корректировки стратегии управления компанией с иностранным капиталом c учетом новых условий хозяйствования. В процессе исследования были поставлены следующие задачи: определение внешних и внутренних факторов, которые могли послужить причиной изменения стратегии управления компанией; анализ способов и методов реализации стратегии управления компании ПАО «Энел Россия»; оценка результатов реализации принятой стратегии управления. Объектом исследования является компания ПАО «Энел Россия». Предметом – особенности стратегий управления компании электроэнергетической отрасли с иностранным капиталом в условиях экономической нестабильности в России. В результате исследования выявлено, что в настоящий момент изменение стратегических решений компании ПАО «Энел Россия» связано с необходимостью обеспечения устойчивости компании при неблагоприятной макро- и регуляторной среде. В связи с чем выделены и проанализированы основные специфические стратегические шаги, дающие долгосрочную отдачу для устойчивого развития бизнеса, характерные для компаний с участием иностранного капитала, работающих на российском электроэнергетическом рынке. Предметом исследования является деятельность энергетических компаний с иностранным капиталом по достижению конкурентных преимуществ на электроэнергетическом рынке.
