Abstract

Bid-rigging is a real problem in the present socio-economic context, not only in Romania, but also in other European Union Member States. Thus, Directive 2014/24/EU on public procurement (transposed by Law nr. 98/2016) is issued from the EU legislator's effort to regulate, through public procurement legislation, the stringent problems regarding private corruption, problems that the Court of Justice of the European Union was concerned with. Thus, Directive 2014/14/EU incorporates the solutions of the European Court which has traced the principles for settling certain problems regarding public procurement and competition distortion by participants, solutions which should be respected also by the Romanian courts called upon to interpret and to apply Law nr. 98/2016 in a pan-European spirit. Abstract

The present paper is deemed to retrieve the concept of power in negotiations, as a non-threat concept that may be used in order to ensure the success in negotiations. Further to an analysis of the positional negotiations and the views of the doctrine on the matter, the paper focuses on the construction of a reinforced negotiation position that would lead to the status enabling the negotiator to reach a long time satisfactory agreement. Although the power in negotiations has been often associated with a dictatorial approach and, during the past years, has lost field in favor of the win-win negotiation that is assessed as "softer" an more cooperative, in the end power in negotiation has proven as the practical advance towards the negotiation goals. This study examines the regulation of the Civil Code, entered into force on 1 October 2011, in respect of non-essential clauses, standard clauses, external clauses or extrinsic and unusual clauses, in the process of conclusion of contracts. Despite the intention of simplification which the Civil Code had in view, the risks and the issues generated by these legal instruments can be imagined, even in this early stage of its application.
