Anonim şirketler hukukunda yönetim kurulu üyeleri ve yöneticilerin sorumlulukları kabul edilmiştir. Bu sorumluluk, yönetim kurulu üyeleri ve yöneticilerinin kanun ya da esas sözleşme gereğince kendilerine düşen bir yükümlülüğü ihlâl etmelerine dayanmaktadır. Bu ihlâlin neticesinde şirket zarara uğrayabilir. Şirketin yanında pay sahiplerinin veya şirket alacaklılarının da zarara uğraması söz konusu olabilir. Aynı zamanda, şirketin zararının pay sahipleri ve alacaklıları da etkilemesi mümkündür. İşte bu halde, pay sahipleri ve alacaklılar açacakları sorumluluk davasıyla hükmedilecek tazminatın şirkete ödenmesini isteyebilirler. Pay sahipleri ve alacaklıların şirketin doğrudan uğradığı zararlardan etkilenmeleri öğretide doğrudan ve doğrudan olmayan zararlar ayrımını yaratmıştır. Doğrudan olmayan zararlar konusunda öğretide yaygın olarak dolaylı zararlar terimi kullanılmaktadır. Bu çalışmada, pay sahiplerinin ve alacaklıların şirketin doğrudan uğradığı zararlar konusundaki hukukî konumu, borçlar hukukunun temel prensipleriyle karşılaştırılarak tartışılmaktadır

Kanun koyucu kira sözleşmesinin kiracının iflası sebebiyle sona ermesini 6098 sayılı Türk Borçlar Kanunu’nun kira sözleşmesine ilişkin genel hükümler kısmında olağanüstü bir fesih sebebi olarak madde 332’de düzenlemiştir. TBK m. 332’de belirtildiği üzere, kiracının kiralananın tesliminden sonra iflas ettiği durumlarda kiraya veren, işleyecek kira bedelleri için güvence verilmesini kiracıdan veya iflas idaresinden yazılı bir şekilde ve onlara uygun bir süre vererek isteyebilir. Verilen süre içerisinde kendisine güvence verilmezse kiraya veren, kira sözleşmesini herhangi bir fesih bildirim süresi ile bağlı olmaksızın hemen feshedebilir. Çalışmamızda ilk olarak TBK m. 332’nin hukuki niteliği ile uygulama alanı açıklanmıştır. Sonrasında TBK m. 332’nin uygulanması için gerekli olan şartlar inceleme konusu yapılmıştır. En nihayetinde ise, TBK m. 332’nin hüküm ve sonuçları ele alınmıştır.

Electroconvulsive therapy (ECT) is an effective treatment for various psychiatric conditions. Although rare, prolonged post-ECT delirium is a serious adverse effect of ECT. Various factors, such as underlying brain pathologies, medications, seizure duration, and type of electrode placements play a role in the development of post-ECT delirium. We report a 56-year-old male suffering from 14-day-long post-ECT delirium associated with substance misuse, pesticide exposure, as well as ischemic brain changes. On the basis of the insights from this case, it may be suggested that all patients should be screened for risk factors associated with ECT-related delirium before ECT and that various parameters, such as electrode placement and medications, should be adjusted accordingly.

The threat (duress) is stipulated by TCO art. 37-38. Similarly, there are various regulations regarding the threat in TCO art. 39, which is applicable in all cases of defect in consent. Considering the relevant provisions, firstly, according to TCO art. 37, where a party concludes a contract under threat of the other party or a third party, he/ she is not bound by the contract. Where the threat comes from a third party, the party under threat who wishes not to be bound by the contract is obliged to pay compensation to the other party of the contract in the interest of equity. Secondly, in TCO art. 38, the conditions of the threat are included, and it is stated in which situations the threat occurs as a defect in consent. Finally, in TCO art. 39, it is stated that in cases where the party under threat, it is deemed that the contract has been ratified unless the party declares not to be bound by the contract or reclaims restitution for the performance made within one year runs from the time that the effect of threat ended. Also, according to this article, the ratification of a contract that is not binding as a result of a threat does not abolish the right to claim compensation. While the legal basis of the right of compensation of the party under threat is "tort liability" and "culpa in contrahendo liability", the legal basis of the right of compensation of the other party of the contract is the "principle of balancing of sacrifices". As can be seen, a threat has two consequences. These are the recission of the contract and the compensation. In our study, the right of compensation of the party under threat within the scope of culpa in contrahendo liability has been examined., Korkutma TBK m. 37-38'de düzenlenmektedir. Yine, bütün irade sakatlığı hallerinde uygulama alanı bulan TBK m. 39'da da korkutmayla ilgili çeşitli düzenlemeler yer almaktadır. İlgili hükümlere bakıldığında, ilk olarak TBK m. 37’de, taraflardan birinin, diğerinin veya üçüncü bir kişinin korkutması sonucu bir sözleşme yaptığı durumlarda, sözleşmeyle bağlı olmadığı ve üçüncü kişinin korkutması sebebiyle sözleşmeyle bağlı kalmak istemeyen korkutulanın hakkaniyet gerektiriyorsa sözleşmenin diğer tarafına tazminat ödemekle yükümlü olduğu belirtilmiştir. İkinci olarak, TBK m. 38’de, korkutmanın şartlarına yer verilerek, hangi durumlarda irade bozukluğu olarak korkutmanın bulunduğu ifade edilmiştir. Son olarak TBK m. 39’da ise, korkutulanın, korkutmanın etkisinin ortadan kalktığı andan başlayarak bir yıl içinde sözleşme ile bağlı olmadığını bildirmediği veya verdiği şeyi geri istemediği durumlarda, sözleşmeyi onamış sayılacağı ve korkutmadan dolayı bağlayıcılığı olmayan bir sözleşmenin onamış sayılmasının onun tazminat hakkını ortadan kaldırmayacağı açıklamıştır. Korkutulanın sahip olduğu tazminat hakkının hukuki dayanağını “haksız fiil sorumluluğu” ile “culpa in contrahendo sorumluluğu” oluştururken, sözleşmenin diğer tarafının sahip olduğu tazminat hakkının hukuki dayanağını ise “fedakarlığın denkleştirilmesi ilkesi” oluşturmaktadır. Görüldüğü üzere korkutmanın iki sonucu bulunmaktadır. Bunlar sözleşmenin iptali ve tazminattır. Çalışmamızda korkutulanın culpa in contrahendo sorumluluğu kapsamında sahip olduğu tazminat hakkı ele alınmıştır.

Hukukumuzda çocuk ile baba arasında soybağı, ana ile evlilik, tanıma veya hâkim hükmüyle kurulmaktadır (TMK m. 282/ f. 1). Keza çocuk ile baba arasındaki soybağının ayrıca evlât edinme yoluyla da kurulması mümkündür (TMK m. 282/ f. 2). Tanıma, babanın, nüfus memuruna veya mahkemeye yazılı başvurusu ya da resmî senette veya vasiyetnamesinde yapacağı beyanla söz konusu olmaktadır (TMK m. 295/ f. 1). Kanun koyucu, TMK m. 297 hükmü ile tanıyanın irade sakatlıklarına dayanarak tanımayı geçersiz duruma getirmesine imkân sağlamıştır. TMK m. 297’de belirtildiği üzere, tanıyan, yanılma, aldatma veya korkutma sebebiyle tanımanın iptalini dava edebilmektedir. Tanımanın iptali davası anneye ve çocuğa karşı açılmaktadır.Çalışmamızda tanımanın iptalini sağlayan söz konusu sebeplerden korkutma inceleme konusu yapılmış olup, bu çerçevede korkutmanın tanımı, şartları ve sonucu ele alınmıştır., The parent-child relationship (the paternity) is formed between child and fatherby virtue of the latter being married to the mother, by recognition or by courtdeclaration (TCC Art. 282/ p. 1). Moreover, the parent-child relationship betweenchild and father is formed by adoption (TCC Art. 282/ p. 2). Recognition is effected by the father with the assistance of a written declaration made before the registry officer or the court or by an official deed or by testamentary disposition(TCC Art. 295/ p. 1). With TCC Art. 297, the legislator enabled the recognisingperson to invalidate the recognition due to the defect in consent. As stated in TCCArt. 297, the recognising person can sue for the annulment of the recognition dueto error, fraud or duress. An action for annulment of recognition is filed againstthe mother and the child.The subject of our study is the duress, which is the reason for the annulment ofrecognition. In TCC Art. 297, there is no clarity on the nature of the duress leadingto the annulment of recognition. In this context, in our study, comprehensive information is given about the duress that causes the annulment of recognition, andin this direction, the definition, conditions and result of the duress are discussed.

The dairy industry produces significant quantities of wastewater that have a high potential to pollute the environment if it is not properly treated. Dairy wastewater is rich in organic materials along with other pollutants, and anaerobic treatment technologies have been successfully applied due to its high biodegradability. Several research papers have been published on the application of anaerobic biofilm technologies for dairy wastewater under different operational conditions. This paper provides a critical review focusing on biofilm reactors for anaerobic treatment of dairy wastewaters of varying strengths. The effects of organic loading rate and hydraulic retention time on the performance of bioreactors are discussed and operational problems are summarized. Evaluation of reports indicates that biofilm reactors have great performance stability and hybrid bioreactors provide higher organic matter removal and methane production. Among bioreactors, up-flow anaerobic filter packed with varying media has provided higher treatment efficiency and it has higher tolerance against hydraulic shock loadings and heavy metal toxicity. Furthermore, more research should be conducted on low-temperature applications to increase net energy gain from dairy wastewaters.

Cities, which have become more populated crowded as the result of industrial revolution, had also brought many challenges. In the developed countries, these challenges are met with an environmentally prioritized approach; whereas the economic and social aspects are prioritized in the developing countries. The fact that natural sources are under threat of diminishing, caused the rising of “sustainability”. With sustainable urban transformation, transformation of cities is getting to handle under principles of sustainability. The 6306 numbered Law of Transformation of Areas under Disaster Risk which aims transformation of 6.5 million structures which have been carrying the risks of lives and property has legalized in 2012. This law aims to bring solutions to the problems deriving from irregular urbanization. Supercity projects were taken into agenda by Ministry of Environment and Urbanization in order to physical, social, cultural and spatial sustainability of building under risk. With this projects, the urban transformation and sustainability principles were analysed together. Supercity projects headline six major performance criteria such as land use and urban design, energy, water, transportation, materials and sources, social and economic sustainability. In areas where urban transformation is implemented with Supercity System, at minimum 44% less management costs, 44% less public expenses, 65% energy productivity, 65% water saving and 55% management productivity are objected. In this paper, Supercity Project pilot practice at Kocakir Eskisehir has been evaluated within conceptual framework determined by principles, strategies and methods subject to urban transformation approach.

Hydrogen (H2) is one of the most promising alternative fuel sources for satisfying future energy demand, and fermentative hydrogen production is advantageous over other processes. In recent decades, considerable research has been conducted on H 2 production from carbohydrate-rich materials since it is a cost-effective approach and has the ability to generate intensive renewable energy from organic wastes. Dairy wastewater is a high volume industrial wastewater and with its immense carbohydrate content is an attractive candidate for sustainable fermentative H 2 production. The present paper provides comprehensive evaluation of recent reports on fermentative H 2 production from dairy wastewater. Important effective parameters and current bioreactor technologies for H 2 production from dairy wastewater are discussed. © 2014 Society of Chemical Industry

Considerable research has been conducted on the treatment of dairy wastewater by anaerobic granular reactors. Upflow anaerobic sludge blanket (UASB) reactors, anaerobic sequencing batch reactors (ASBR) and static granular bed reactors (SGBR) are the conventional granular reactor types most commonly applied in dairy wastewater treatment. Hybrid systems have also been developed to increase treatment efficiency and overcome the operational problems associated with the treatment of this substrate. Effects of parameters including temperature, organic loading and operating protocols on the performance of granular reactors are summarised. Individual and hybrid granular reactors are evaluated based on organic matter removal and methane production capacity.
