2. Impact of business evaluation process on mergers and acquisitions outcome

Abstract

Mergers and Acquisitions (M&As) have been on the rise since last three decades and have attracted considerable attention from the research community. Conclusion drawn by some of the studies are that such transactions do not result in better performance or that they erode acquiring firm‘s shareholder value and produce highly volatile market returns. A number of studies have analyzed reasons for such inefficiencies and have pointed out several factors. However, very little attention has been given to business evaluation process as an influencing factor. This study investigates that how the processes involved in the evaluation of a target firm influence the outcome of the M&As? The research objective requires insight of the situations accruing at the time of happening of a particular event by interacting with those involved in the process. Considering the exploratory nature of the research question, the study adopts a comparative Case Study methodology to investigate the impact of business evaluation on the performance of M&As. The findings reveal that processes related to business evaluation have a significant impact on the outcome of the Merger and Acquisition (M&A) transactions. Sounder, controlled and inter linked processes can ensure better chances of their success. Further, the boundaries of the business evaluation processes, for the sake of M&A transactions, need to be elaborated to make performance assessment as its integral part. This would help in shaping the performance of the transactions by taking remedial steps during their implementation. The study complements earlier studies and provides a holistic view on the factors influencing performance of such transactions. Hence, outcome of the study would bring clarity in understanding the relationship and behavior between different components and related factors of business evaluation and M&A performance.

Abstract

International audience; Research on M&A outcome often focuses on tangible financial results and the reaction of stock markets. This research attempts to provide a more accurate assessment of M&A performance by linking tangible as well as intangible M&A motives to outcome assessment. The theoretical framework is based on evaluation theory. The authors analyze four case-studies of international M&As conducted by European companies. The findings indicate that M&A outcome can be more accurately measured by aligning it with the motives defined by the acquiring firms. They suggest that M&A outcome assessment should be considered as a process covering both pre-merger and post-merger stages. This study makes a theoretical contribution and augments evaluation theory by connecting M&A motives and M&A performance assessment and treat it as a process evaluation.

16. Market Driving Strategies and Global Competition.

Abstract

Entrance to foreign market is generally riskier when standardization strategy, compared to adaptation, is opted. Adaptation helps in learning local customer preferences causing better rapid market acceptance and it is less complex than attempting to change local market conditions. In order to stimulate firm's performance, market orientation studies researched that firms should continuously monitor and evaluate changes in the market place to come up to the expectation of the customers' expectation. Perversely, all firms don't believe in adaptation, they prefer to offer propositions varied from the local market tends, and expect customers to adopt them to satisfy their latent needs. We, therefore, in this study try to resolve the enigma about marketing strategy in the foreign markets by identifying the capability driving forces. Towards this end, we draw reference from network, knowledge transfer, branding and market orientation literature. Methodology based on a survey of 143 international companies tests the new approach, based on localization, that market driving firms have strong capabilities in configuration, networking, knowledge transfer and internal branding. Abstract

Aim: This study highlights the use of electronic dental record (EDR) of a dental college at the University of Hail. This study has examined the perceptions of the stakeholders in regard to the objective mentioned above., Materials and Methods: It was a cross-sectional survey. The present study collected data from participants working in the dental clinics at the University of Hail. Face- and content-validated questionnaire was used as a study tool. The data were displayed in numbers and percentages. A Chi-squared test was used to measure the statistical significance. The p value < 0.05 was considered significant., Results: There were 166 respondents, out of which 92 (55.4%) were male and 74 (44.6%) were female participants. A highly significant result recorded for age group and rank/position for a variable that says using EDR will add to the skills of the dentists. Results showed that using EDR would not slow down the work. A need for a comprehensive training and the interference with the performance of dentists found as two main barriers towards the use of EDR., Conclusion: This study has pioneered the idea of checking on the perceptions of stakeholders to enquire about the use of EDR in clinics in the Kingdom of Saudi Arabia. It has been reiterated by all the participants that EDR is a need for the clinics in the kingdom but some have reservations about the tedious nature of its use while some were worried about the excessive training they will need to overcome the difficulty of using it. It is observed from the stakeholders' replies that the use of EDR will slow down the work nature in clinics., Clinical Significance: The EDR is commonly used in many developed countries. The proficiency of its use is quite acceptable. The use of EDR in Kingdom of Saudi Arabia is relatively new. The present study measures the perception of its easiness and efficiency in dental practice.
