The paper aim is to assess the concentration level of financial audit market in Poland. Our sample consists of 375 public companies disclosing statutory auditor's report on financial statement for 2018, listed on the Main Market in the Warsaw Stock Exchange (WSE). We have measured the audit market concentration by means of the 4-firm concentration ratio CR4, Herfindahl-Hirschman index, 'Big Four' and '10KAP' indicators. The research findings reveal that the audit market concentration in Poland is much lower than in other European states. The share of the Big 4 firms in the entire market is close to 35%, and of the 10 most important audit firms - to 53%. The audit firm with the greatest share of the market for statutory audits of annual financial statements of WSE-listed companies is Ernst & Young, which audited 12% enterprises. It is followed by Deloitte, BDO, PricewaterhouseCoopers, UHY ECA, Grant Thornton and KPMG, none of which has a market share greater than 10%. An analysis of the concentration levels in major sectors allows auditors specialising in certain industries to be identified.

In-depth changes are now taking place in the audit services market in Europe. They are mainly caused by the implementation of new rules laid down in European regulations. However, Member States have relatively broad freedom in drafting detailed regulations. In light of the above, the main purpose of this article is to identify disparities between financial audit systems in different European countries and to assess them in the context of changes introduced in the EU as a whole. Particular attention is paid to aspects connected with the organisation and the structure of the audit services market. Rules applicable in 30 countries have been analysed and differences identified concerning the scope of Public Interest Entities, the obligatory audit firm rotation, the ban on providing selected non-audit services, and joint audits. Disparities were found in key aspects of statutory auditor activities which are still very controversial. The biggest ones concern the obligatory auditor rotation and the maximum duration of engagement by a given entity. This has a negative impact on the effectiveness of the whole market and its competitiveness.

Obecnie zachodzą poważne zmiany w sposobie raportowania przez biegłych rewidentów wyników audytu. Nastawione są one głównie na przedstawienie szerszego kontekstu pracy audytorów w celu efektywniejszej analizy ich wniosków. W tym kontekście szczególnie interesujący jest obowiązek prezentacji w sprawozdaniu biegłego rewidenta kluczowych kwestii badania (Key Audit Matters - KAM's) odnoszących się do obszarów o największym stopniu ryzyka. W związku z powyższym celem artykułu jest prezentacja stopnia implementacji zmian w raportowaniu biegłych rewidentów przy audycie sprawozdań finansowych największych spółek na polskim rynku oraz identyfikacja kluczowych zagadnień badania i procedur weryfikacyjnych stosowanych przez audytorów. Szczególnej analizie poddano sprawozdania audytorów z badania skonsolidowanych sprawozdań finansowych 30 największych spółek notowanych na rynku podstawowym warszawskiej GPW za lata 2014-2016. Łączna próba obejmuje 90 opinii. Podstawę metodyki badawczej stanowiła głównie analiza przypadków, zaś do sformułowania wyników wykorzystano wnioskowanie dedukcyjne i indukcyjne, z wykorzystaniem metody analizy oraz syntezy. Wyniki badań pokazały, że część biegłych rewidentów na bieżąco wdrażała nowe elementy raportowania. Analiza treści sprawozdań wskazała, że do kluczowych kwestii badania audytorzy zaliczają głównie szacowanie utraty wartości aktywów, ujmowanie przychodów ze sprzedaży, ujawnianie roszczeń, spraw spornych i zobowiązań warunkowych oraz rozliczanie aktywów z tytułu odroczonego podatku dochodowego. Audytorzy dość szczegółowo prezentują również uzasadnienie wyboru danego obszaru ryzyka oraz zastosowane techniki weryfikacyjne. Significant changes are being made to the way independent auditors report audit results. They are generally oriented towards the broader context in which the auditors worked to analyse their conclusions more effectively. What is particularly interesting in this context is the auditor's duty to present Key Audit Matters (KAMs) concerning areas of the highest risk. In light of the above, the purpose of this article is to present the extent to which changes have been implemented in independent auditors' reports from the audits of the financial statements of the largest companies on the Polish market and to identify both the key audit matters as well as the verification procedures applied by auditors. Auditors' opinions from the audits of consolidated financial statements of the 30 largest companies listed on the main market of the Warsaw Stock Exchange for the years 2014-2016 were analysed in detail. The total sample comprised 90 opinions. The research methodology consisted mainly of case studies, with deductive and inductive reasoning used to formulate conclusions based on the analysis and synthesis method. The results of this research indicate that some independent auditors have been implementing new elements of reporting on a current basis. An analysis of the contents of their opinions has shown that the auditors mainly include the estimates of asset impairment, the recognition of sales, the disclosure of claims, disputed matters and contingent liabilities as well as accounting for deferred income tax assets in Key Audit Matters. Auditors also give quite detailed reasons for selecting the specific KAM and the verification techniques used.

Celem artykułu jest prezentacja istotnych zmian w sposobie raportowania przez biegłego rewidenta wyników audytu do inwestorów oraz analiza stopnia ich implementacji przy badaniu sprawozdań finansowych spółek zaliczanych do WIG-20. Wydawana do tej pory, dość sztywna w brzmieniu opinia wraz z raportem nie spełnia już oczekiwań środowiska biznesowego. Główna teza brzmi: nowa struktura raportu biegłego rewidenta pokazuje istotne elementy metodologii badania sprawozdania i dzięki temu ułatwia czytelnikom zrozumienie wyników audytu. Artykuł opiera się na analizie zmian legislacyjnych w tym zakresie oraz opinii z badania skonsolidowanych sprawozdań finansowych największych spółek notowanych na warszawskiej GPW. Opracowanie prezentuje kluczowe zagadnienia związane ze zmianą międzynarodowych i krajowych przepisów prawnych dotyczących raportów przygotowywanych przez biegłych rewidentów oraz ich praktyczną implementacją przez spółki audytorskie. Wyniki badań wskazują, że część biegłych rewidentów na bieżąco wdraża nowe elementy raportowania. The purpose of this article is to present significant changes in the way in which a statutory auditor reports audit results to shareholders and to analyse the extent to which they have been implemented in financial audits of companies included in the WIG-20. The opinion with report issued previously, of a rather inflexible wording, no longer meets the expectations of the business community. The main thesis is that the new structure of the statutory auditor’s report shows significant elements of the methodology of financial statement auditing and thus helps the reader understand audit results. This article is based on an analysis of legislative changes in this regard and the opinions from audits of consolidated financial statements of the largest companies listed on the Warsaw Stock Exchange. The publication presents key issues connected with the change of international and Polish legal regulations governing reports executed by statutory auditors and their practical implementation by audit firms. The results of research indicate that some statutory auditors are currently implementing new elements of reporting.

Celem artykułu jest prezentacja etycznych aspektów przeciwdziałania nadużyciom gospodarczym w przedsiębiorstwach. Główna teza brzmi: skuteczne wdrożenie i upowszechnianie w podmiocie zasad etycznego postępowania może w znacznym stopniu ograniczyć ryzyko występowania oszustw finansowych. Artykuł opiera się na analizie literatury przedmiotu oraz wyników badań z zakresu etyki pracy opublikowanych przez międzynarodowe instytucje zajmujące się tym problemem. Wykorzystano metodę analizy źródeł. Opracowanie prezentuje kluczowe zagadnienia związane z lojalnością pracowników w kontekście ryzyka popełnienia nadużycia, postawą etyczną kierownictwa i jej wpływem na pozostałych członków organizacji, stosowaniem polityki zero tolerancji, wdrażaniem kodeksów postępowania oraz problemami z tym związanymi. The purpose of this article is to present the ethical aspects of preventing economic frauds in enterprises. Its main thesis is that the effective implementation of ethical conduct rules and their promotion in an organisation can significantly cut the risk of financial fraud being committed. This article is based on an analysis of the literature of the subject and results of research on work ethics published by international institutions dealing with this problem. The method of source analysis has been used. This publication presents key issues related to employee loyalty and its effect on the risk of misconduct, the ethical attitude of the management and its influence on the remaining members of the organisation, the application of a zero tolerance policy, implementing codes of conducts and the related problems.

Obecnie nadużycia finansowe stanowią jedno z większych zagrożeń efektywnego funkcjonowania rynków kapitałowych. Globalizacja i związana z nią liberalizacja oraz niespotykany rozwój technologii informatycznych wyjątkowo sprzyjają oszustwom. Rośnie więc zainteresowanie różnymi narzędziami wspierającymi ich wykrywanie. Badania wskazały, że kluczową rolę w tym zakresie odgrywają zwykłe donosy pochodzące od osób związanych z danym przedsiębiorstwem. Stąd też stworzono i upowszechniono systemy wspomagające przekazywanie takich informacji, które określane są jako whisteblowing. Problem oczywiście wzbudza znaczne kontrowersje. Niektórzy uważają, iż jest to zwykłe donosicielstwo i nie ma nic wspólnego z etyczną postawą. Niniejsze opracowanie ma na celu prezentację kluczowych zagadnień związanych z whisteblowingiem postrzeganym jako narzędzie wspomagające wykrywanie oszustw gospodarczych. W artykule poruszono głównie problemy związane z definiowaniem pojęcia, przedstawiono amerykański mechanizm whisteblowingu (uchodzący za najbardziej rozbudowany) na tle innych krajów, dokonano analizy zakresu ochrony prawnej sygnalistów i zaprezentowano podstawowe zasady tworzenia efektywnych mechanizmów zgłaszania nadużyć wewnątrz organizacji. At present financial abuse is a major threat to an effective operation of capital markets. Globalisation and the related liberalization as well as an unprecedented development of information technologies exceptionally favour frauds. Thus, the interest in all kinds of tools supporting their detection is on the rise. The research indicates that the key role in this area is played by the information provided by the stakeholders. Hence, systems supporting the provision of this information called whistleblowing have been created and made popular. The problem naturally arouses controversy. The present study aims primarily at the presentation of key issues connected with whistleblowing considered to be a tool to support detection business fraud. The article presents mainly the problems connected with the definition of the issue, the American model of whistleblowing (thought to be well developed) compared to other countries, analyses the scope of legal protection of whistleblowers and discusses the principles of creation of effective mechanisms of abuse in-house reporting.

Mogą z niej również korzystać członkowie komitetów audytu, pracownicy pionu kontroli wewnętrznej, audytorzy wewnętrzni oraz biegli rewidenci, głównie w zakresie korzystania z proponowanych szczegółowych technik wykrywania przypadków defraudacji składników majątkowych oraz oszukańczej sprawozdawczości finansowej, ale również poszukiwania możliwych symptomów przestępstw popełnianych przez kierownictwo najwyższego szczebla. W świetle kryzysu gospodarczego wzrasta ryzyko występowania celowych oszustw finansowych w działalności gospodarczej przedsiębiorstw. Mogą one przybierać różne formy: defraudacji majątku, oszukańczej sprawozdawczości finansowej, korupcji itd. Głównym celem opracowania jest prezentacja istoty nadużyć gospodarczych na tle ich różnorodnych klasyfikacji. The risk of the occurrence of deliberate financial fraud in business activities is increasing in the situation of an economic crisis. Such fraud may assume various forms: embezzlement, creative accounting, corruption etc. The main purpose of this study is to present the essence of business abuse on the background of its various classifications. The author has also presented basic types of business offences, in accordance with the current legal regulations, together with selected symptoms of business abuse.
