Abstract

Equilibrium in incomplete markets is affected by externalities which affects the unanimity of shareholders and the general objectives of the firm. These externalities includes individual shareholder's interests, concern for external implications of the firm's objectives and benefits derived from control. Equilibrium exists in complete markets without similar externalities because of unanimous shareholders decisions.

Abstract

Relational investing by institutional investors will lead to the increased use of strategies that focus on board composition and the use of cumulative voting to increase the board's accountability to shareholders. The institutional investor's control over the board of directors can be maximized by implementing procedures in the articles of incorporation that provide for cumulative voting. Cumulative voting affords representation to minority shareholder blocks, forcing the board and management to be accountable to a higher percentage of the shareholders.
