Disputes over validity of shareholder resolutions are among the most typical and common disputes in corporations. Resolution of such disputes in a fast and efficient manner is beneficial for the corporation and its shareholders alike as far as ensuring legal certainty is concerned. Yet, arbitration of this type of disputes remains a contentious issue due to questions over arbitrability, compatibility of arbitration clauses in charters with corporate law and the procedural peculiarities involved. This paper offers an analysis of the debate on those matters in the light of developments in comparative law and presents solutions to eliminate questions marks concerning arbitration of such disputes.
