Abstract

Discusses the right of a stockholder, suing in behalf of a corporation, to complain of misdeeds occuring prior to his acquisition of stock. Stockholder must have had his shares devolve upon him after the wrongs were committed by operation of law; Arbitrary limitation placed upon his right to sue; Transfer operates to cut off rights which the transferor would have had; Wrongs are imposed on purchasers who only on becoming stockholders can inspect the books of the company.
