Abstract
- The article discusses the reasons why providing mandatory arbitration bylaws to address federal securities law disputes violates state corporate law in the U.S. Other topics include the limits of forum selection bylaws, the importance of the mechanics of corporate class actions to corporations, stockholders and academics, and the issue of whether federal securities transactions are part of the internal affairs of corporations.
