Abstract

The article analyzes the reform project of the Uruguayan Commercial Companies Law No. 16.060, which seeks to make substantial changes to the current regime regarding commercial companies. Two important changes are highlighted: the possibility of genetic singularity in the anonymous society and the limited liability company, and the consolidation of autonomy of will as a general principle in the design of contracts or social statutes. The project was presented by senators Lilian Kechichian and Carmen Sanguinetti, and senators Carlos Camy and Raúl Lozano, and was developed by commercial law professors Ricardo Olivera García, Alicia Ferrer Montenegro, and Alejandro Miller Artola.
