Abstract
- Tesla Inc. is pushing back against a shareholder's request to prevent Elon Musk from moving the executive-compensation dispute to Texas. The shareholder, Richard Tornetta, claims that Tesla's proxy is misleading and wants Musk to be barred from litigating the pay issue outside of Delaware. Tesla argues that there are no pending actions in Texas and that Musk has not done anything to interfere with the judge issuing a final judgment. Tornetta's lawyers also want an escrow account to be created for Tesla shares and expressed concerns about seeking fee approval from a judge in Texas. The case is ongoing in the Delaware Chancery Court. [Extracted from the article]
