Abstract

The article discusses recent changes to construction laws regarding the reporting of "Beneficial Ownership Information" (BOI) for small business entities. The Corporate Transparency Act (CTA) requires certain entities, including corporations, LLCs, and foreign companies registered in the US, to report BOI to a federal database maintained by the US Department of Treasury. There are exemptions for certain regulated industries, but law firms and construction industry participants are not specifically exempt. The article also outlines the reporting requirements, access to information, and information security measures.
