Abstract

The article explores the issue of underrepresentation of minorities on corporate boards of directors (BODs) and proposes two pathways for achieving more inclusive decision-making and improving corporate governance. The first pathway suggests granting minorities seats on key board oversight committees, giving them greater effective power in critical decision-making processes. The second pathway focuses on addressing socio-psychological biases and processes through empowerment and transparency, creating conditions for minority members to maintain their unique identities and meet their need for recognition. The authors argue that implementing both pathways simultaneously can lead to improved decision-making processes and foster a more inclusive and diverse board. [Extracted from the article]
