Abstract

The Securities Act of 1933 and the Securities Exchange Act of 1934 both provide civil and criminal penalties for fraudulent activity including insider trading and misrepresentation. Section 17(a) of the 1933 Act prohibits fraud in the offer or sale of securities. Section 10(b) of the 1934 Act prohibits any fraudulent or deceptive activity connected with the purchase or sale of securities. Both statutes require intent to defraud and some connection to interstate commerce.
