Проаналізовані окремі економічні характеристики юридичної особи. Досліджено питання власності як передумови виникнення та функціонування юридичної особи, відділення майна через конструкцію юридичної особи як економічний спосіб ухилення від відповідальності її учасників та вивчення юридичної особи як системи контрактів. Исследованы вопросы собственности как предпосылки возникновения и функционирования юридического лица, отделения имущества через конструкцию юридического лица как экономический способ уклонения от ответственности его участников и изучения юридического лица как системы контрактов. Сделаны выводы, что: собственность в рамках юридического лица как экономическая категория выполняет определенную функцию, состоящую в формировании значительного по объему капитала на наиболее выгодных для всех лиц, втянутых в этот процесс, условиях с целью максимально прибыльного его использования; исходя из экономической составляющей, можно утверждать, что юридическое лицо является исключительно инструментом отделения имущества, что осуществляется с целью ограничения риска его потери в процессе определенной деятельности реального (физического) лица; юридическое лицо с экономической точки зрения можно понимать как систему контрактов, что обусловлено взаимосвязями между его учредителями (участниками), лицами, управляющими ним (менеджерами) и самим юридическим лицом.

The essence of the legal nature of relations between the non-entrepreneurial company and its participants is revealed. Analyzed the views of scholars on the definition and content of corporate rights in non-entrepreneurial societies. It is concluded that in a non-commercial partnership there are two types of legal relationships regulated by different methods of civil law: internal corporate relations or organizational, regulated by a method in which the decision of the majority is mandatory for minority, and property relations, which are regulated by the legal equality of parties, with all legal consequences.Formulation of the problem. Today many non-entrepreneurial companies have shown themselves to be active in such a way that real social issues are solved, which for a number of reasons the state does not manage. Among them, supporting and protection of the rights of socially vulnerable groups of the population (children, youth, women, military personnel, veterans, refugees, settlers, invalids, etc.); defending the rights of citizens to a favorable environment; complex of issues related to local self-government; leisure organization, education, retraining, social rehabilitation, etc.The variety of forms of non-entrepreneurial company directly depends on the specific purpose for which it is created and its functions. Some of them are created and operate for the sake of providing economic benefits to an indefinite number of people who are not participants of the non-entrepreneurial company itself (charities, institutions, foundations), others in order to meet the needs of all, the participants themselves of non-entrepreneurial company (public organizations, associations of co-owners of multi-apartment buildings residential buildings, credit unions).Analysis of the recent research materials and publications. The searching of certain issues of the legal status of NT was given attention in the works of V.I. Borisova, I.V. Spasibo-Fateyeva, I.M. Kucherenko, V.I. Zhukov, I.P. Zhigalkin, V.F. Filatova and many other scientists, emphasizing the relevance of the research topic.Despite the considerable interest of scientists in the issues of non-entrepreneurial company activities, many outstanding issues remain, including the legal nature of the relationship between non-entrepreneurial company and its participants.Purpose of the article – to identify the legal nature of the relationship between non-entrepreneurial company and its participants, depending on the type of non-entrepreneurial company and the purpose of its creation.Presenting the main material. The legal nature of the relationship between the non-entrepreneurial company and its participants is based on the "right of participation" in the society enshrined in the law. For its researching it is necessary to determine the legal nature of the "right to participate" in non-entrepreneurial company as a legal entity. Along with the "participation", the term "membership" is also used by law, which in some cases is generally identified. It follows from the conclusion that for non-entrepreneurial company it is not fundamental, but it is more expedient to use the term "right of participation" to unify the use of the definition.Definition of the"right of participation" Civil Code is not provided. Therefore, in clarifying the essence of this right should proceed, first of all, from the general understanding of the concept of "participation" and to analyze the rights enshrined by law to the members of the companies. The legal nature of the right to participate in a company as a legal entity is the right of a companion to act on his own, which causes another person - the companion of the state of affiliation. It can be argued that the right to participate implies involvement in something that the person is involved in, that is, the fact that the person is in a certain connection with other persons is confirmed. This association is not an obligation. However, this is a right that is not opposed to any obligation.The peculiarity of the right of participation of a society is the actions of a companion in a company, which at the same time is both a power and a duty. The right to participate in the "union of persons" is simultaneously a duty in the "union of deposits". The "Union of Persons" adopted the method of legal regulation of intra corporate law, which consists in the decision of the body of the company, adopted by the majority, mandatory for the minority of companions. The method of democratic centralism. Does not have the right to veto, but there is a certain, intracorporate, subordination. In its legal nature, this is an organizational relationship (the right to participate), the subject of civil law. The "Union of deposits" inherent method of legal regulation is a method of civil law. This is a method of legal equality, that is, not subordination of subjects of civil legal relations to each other. This is a property relationship, in which its members, being companions, are related to each other as equal.Conclusions. Based on the foregoing can conclude that in the company, including non-entrepreneurial, two types of legal relations governed by various methods of civil law: internal corporate relations or organizational, regulated by the method in which the majority decision is mandatory for the minority, and property legal relations, which are regulated by the method of legal equality of the parties, with all legal consequences.In the non-entrepreneurial company, in which property contributions are significant and perform functions similar to functions of property contributions in entrepreneurial associations, there is a need for additional protection of the rights and legitimate interests of participants (members), which can be ensured, in particular, by improving the system of reporting on the activities of non-entrepreneurial company and the cost of material resources; mandatory creation in the non-entrepreneurial company of the bodies that control the activities of the organization; the extension of the list of questions submitted to the exclusive competence of the supreme management body of non-entrepreneurial company, etc. If the non-entrepreneurial company simply gives its participants (members) goods, works, and services typical of the external market for a fee, then they act in a role equivalent to the role of creditors. At the same time, the participants (members) are subject to general rules on the protection of creditors' rights., Раскрыта сущность правовой природы отношений между непредпринимательским товариществом и его участниками. Проанализированы взгляды ученых на определение и содержание корпоративных прав в непредпринимательских товариществах. A teoria da desconsideração da personalidade jurídica, também intitulada disregard doctrine, um dos temas clássicos do Direito Empresarial, consolidou-se, no direito pátrio, como mecanismo importante na procura de soluções justas para as questões negociais. Inserido na legislação civil, esse instituto dispõe de área fértil de aplicação quando tratado no âmbito familiar. Destaca-se a pesquisa ao Direito de Empresas e às sociedades familiares que se concretizam no atual cenário econômico, como núcleos providos de capacidade financeira e gerencial hábeis a prestigiar a solidez financeira do sistema econômico. Entre o Direito Comercial e o Direito de Família, existe similitude, ligação que seria como a junção de pessoas diferentes em busca de um mesmo objetivo, tanto nas sociedades, quanto na célula familiar, além dos traços de natureza econômica presente em ambas, mesmo em diferentes escalas, a ponto de alguns autores avaliarem a família como um tipo societário lato sensu. Por meio de fraudes, muitas vezes, a personalidade jurídica serve de escudo para propósitos abusivos. Vislumbra-se, aqui, uma discussão a respeito da aplicação da teoria, buscando-se conciliar o artigo 50 do Código Civil com as normas de Direito Empresarial, possibilitar o acesso do alimentado, do cônjuge ou convivente, vítima da utilização fraudulenta e abusiva da personalidade jurídica, ao pagamento de sua meação e da prestação de alimentos com a aplicação inversa da desconsideração da personalidade jurídica, sendo esta, a forma apropriada de tolher o mau uso da pessoa jurídica nas relações familiares. Desse modo, por meio do exercício irregular da autonomia patrimonial da pessoa jurídica, e em razão do fato de ser uma empresa familiar, gerada pela affectio societatis, há a possibilidade de que um dos cônjuges transfira bens próprios da sociedade conjugal à sociedade familiar à qual pertence. A aplicação da disregard doctrine, nos limites condizentes com o ordenamento jurídico brasileiro, principalmente, o campo do Direito de Família, inversamente, visa garantir o bom uso da pessoa jurídica e o desenvolvimento lícito da atividade empresária. The theory of piercing the corporate veil, also entitled disregard doctrine, one of the classic themes of business law, is consolidated in the country's law as an important mechanism in the search for fair solutions to the business issues. Inserted in the civil legislation, this institute has fertile area of application when treated in the familiar scope. It is worth highlighting the research to the right of companies and the familiar societies that are concretized in the current economic scenario as nuclei equipped with the financial and managerial capacity able to give prestige to the financial solidity of the economic system. Between Commercial Law and Family Law there is similarity, a connection that would be like the union of different people in search of the same objective, both in societies and in the family cell, besides the traits of economic nature present in both, even at different scales, to the point that some authors evaluate the family as a societal type lato sensu. Through fraud, corporate veil often serves as a shield for abusive purposes. A discussion about the application of the theory is sought here, seeking to reconcile Article 50 of the Civil Code with the rules of Business Law, to allow the access of the employee, spouse or cohabitee, victim of fraudulent and abusive use of the corporate veil, the payment of their income and the provision of food with the inverse application of the disregard doctrine, this being the appropriate way to prevent the misuse of the legal entity in family relations. Thus, through the irregular exercise of the patrimonial autonomy of the legal entity and the fact that it is a family business, generated by affectio societatis, it is possible for one of the spouses to transfer property of the conjugal society to the family society to which he belongs. The application of disregard doctrine within the limits of the Brazilian legal system, especially in the field of family law, conversely, aims to ensure the good use of the legal entity, and the lawful development of business activity. Formulation of the problem. One of the main constitutional rights of citizens in a democracy is the right of association, i.e. the right to freely create different organizations, to enter into them and out of them. Article 36 of the Constitution declares that every citizen has the right to freedom of association in the public organizations in order to exercise and to protect its rights and freedoms. However, this is not enough to ensure the existence of non-profit organizations that combine equal and independent citizens ofUkraine. In modern conditions of rapid civil law reforms, there are new and convenient forms of association of citizens for the purpose of exercising their rights, which are aimed at achieving social benefits. In our country, an effective mechanism needs to be realized for the rights and freedoms of citizens by establishing and guaranteeing activity of non-profit organizations and non-interference of the state in the activities of these organizations, with the exception of restrictions established by law in the interests of national security and public order, public health or the protection of the rights and freedoms of others.The relevance of the problem of the general principles and requirements for the establishment of non-profit organizations consists in setting up the optimal mechanism for implementing the citizens' right to freedom of association. This mechanism should be transparent and understandable to ordinary members of civil relations with the inception of non-profit organization and guarantee citizens the right to freedom of association.Analysis of the recent research materials and publications. Mendzhul, and etc., which underlines the importance of scientific research.Despite the considerable interest of scientists on the activities of non- profit organizations, there are still many unsolved issues, such as a list of basic principles and requirements for the establishment of non-profit organizations.Purpose of the article – to analyze the process of establishing non-profit organizations and determining the requirements that apply at different stages of their establishment.Presenting the main material. The Civil Code of Ukraine, which contains general requirements for the establishment of legal persons of private law, unfortunately, does not set up the features of establishment of non-profit organizations, giving preference to specific legislation that regulates its individual types. Therefore, it is necessary to investigate the stages of establishing non-profit organizations inUkraine, indicating the particular requirements for each of them.As stipulated in the Civil Code, a legal entity of private law arises from the moment of state registration. However, this process may be preceded by the development and adoption of constituent documents, if necessary, special permissions should be obtained, i.e. two or three legal fact have to be performed.Considering features of a non-profit organizations legal status, it may be noted that the stages of creating a non-profit organization are the next:defining the purpose of the organization activities;empowering organization attributes of a legal entity of private law;fixing the founders' will in the constituent documents;registration of non-profit organization in the order provided for legal entities of private law in light of the individual characteristics of their types.Conclusions. The choice of a form of non-profit organization, as well as the nature of its activities may impose some peculiarities on the general procedure for its registration process. After receiving the documents, a non-profit organization is formally valid and can start its activities in accordance with the stated objectives. Therefore, a non-profit organization will acquire the rights and obligations, will have its own property, and will be liable to the full extent of its assets. Activities of non-profit organization is established as a perpetual via default, if the term is not limited by the founders in the documents of the organization., Проанализированы вопросы, связанные с созданием непредпринимательских товариществ в Украине, предложены этапы их создания и исследованы особенности требований к каждому из них. Problem setting. The relevance of the chosen theme is the advisability of fixing the limits of enterpreneur actions which is carried out by non-profit organizations. Recent research and publications analysis. This article analyzes recent researches of the legal status of non- profit organizations in the works of V. Borisova, I. Kucherenko, I. Spasibo-Fateeva, I. Zhyhalkina, V. Poddubny, V. Cochin and etc., which underlines the importance of scientific research. Paper objective. The article aims was to identify contradictions in the current legislation of Ukraine and how to overcome them. Paper main body. The legislation of Ukraine, the Civil Code of Ukraine and a number of special normative acts governing the activities of non-profit organizations, grants the right them to engage in business activities. In modern terms, this fact is important, as it provides the ability to create resources to implement the main statutory activities of non-profit organizations for more intensive and fruitful implementation of its statutory objectives. The question is to determine the limits of necessary and legitimate participation of non-profit organizations in the business. The legislation proposed in this paper is to provide a means of influencing non- profit organizations in case of abuse of the right to do business. Conclusions of the research. It is necessary for our legislation to make amendments and to set out the limits of power of non- profit organizations. Also, it is necessary to define the form of entrepreneurship. Business activities of business companies, non profit or created with their participation may be made only for profit and not be associated with non- profit organization authorized activity. Creation of business associations seems necessary not only in terms of exclusion existing contradictions in the civil legal regulation of non- profit organizations, but also in terms of the effectiveness of ongoing business activities. Assume-se como pressupostos argumentativos a luta por reconhecimento decorrente do processo dialético de afirmação da pessoalidade, e o sofrimento de indeterminação causado pela tentativa frustrada de construção e afirmação da pessoalidade, em virtude de instrumentos jurídicos clássicos, que se prendem a uma concepção de realidade ideal e apriorística, pensada de antemão. Propõe-se, portanto, a compreensão do Direito como instrumento dialógico capaz de efetivar uma realidade social, construída e reconstruída através de processos comunicativos que se perfazem em um contexto democrático de convivência. Assim, criticam-se concepções de uma personalidade natural e de uma capacidade de direito, que durante muito tempo demonstraram a preocupação em se resguardar as pessoas tão somente pelo fato delas serem humanas, abstraindo-as do mundo da vida. Tais argumentos não mais se sustentam em um projeto de Direito cujo escopo não se restringe em preservar o sujeito em abstrato, indiferente à realidade das condições reais. O Direito moderno, tão caro ao Estado Democrático, está a exigir atenção ao sujeito concreto, que no mundo da vida está a demandar reconhecimento, esquivando-se de qualquer sofrimento de indeterminação que lhe possa ser imposto. Portanto, a proposta por uma reconstrução implica reestruturar uma Teoria (no caso, das Incapacidades) que não mais se prende em regras imutáveis, intocáveis, implicadas em estandartes tão caros a Escola da Exegese, mas que se estrutura a partir de um pressuposto argumentativo que dialoga com a incessante e solidária incidência das normas na vida de sujeitos distintos. Abstract: Questa tesi presenta la ricostruzione argomentative della Teoria dell`Incapacità nel Diritto Privato, in particolare per quanto riguarda il trattamento delle persone affette da disturbi mentali e del comportamento. Assunto come presupposizione argomentativo la lotta per il riconoscimento a causa del processo dialettico di affermazione della personalità, e la sofferenza di incertezza causata dalla tentativa fallita di costruzione e l'affermazione della personalità, a causa di strumenti giuridici classici, che si riferiscono ad una concezione della realtà ideale ed a priori, pens anticipo. Si propone, pertanto, comprendere il Diritto come strumento di dialogo in grado di effettuare una realtà sociale, costruita e ricostruita attraverso processi comunicativi che costituiscono in un contesto di convivenza democratica. Cos, a criticare le idee di una personalità naturale e una capacità di diritto, che ha dimostrato interesse alla tutela dei singoli per il solo fatto del loro essere umani, astrato dal mondo della vita. Tali argomenti non possono tenere su un progetto di Diritto la cui scopo non limitato a preservare il soggetto astratto, indifferente alla realtà delle condizioni effettive. Il Diritto Moderno, caro allo Stato democratico, quello di chiedere l'attenzione al soggetto concreto, che nel mondo della vita esige riconoscimento, schivando ogni sofferenza di indeterminatezza che pu essere imposto. Pertanto, la proposta di ricostruzione prevede la ristrutturazione di una Teoria (nel caso di Incapacità) che non pi si appiglia alle leggi immutabili, intoccabili, implicati in stendardi cos caro alla Scuola dell'Esegesi, ma che struttura da un presupposto argomentativo che dialoga con l'incidenza incessante della norma nella vita dei soggeti.

Bibliografia: f. 110-117 Resumo: A tese que se apresenta tem o objetivo de superar a noção tradicional segundo a qual apenas as pessoas possam ser sujeitos de direito, isto é, terem capacidade de direito. Ao demonstrar as perplexidades e incongruências que para a ciência jurídica decorrem da equiparação entre as noções (pessoa e sujeito de direitos), este trabalho apresenta uma solução para grande parte das questões que enumera. A alternativa que se propõe, sob todos os aspectos condizente com o direito positivo vigente, é a de se reconhecer a existência de sujeitos de direito não dotados de personalidade. A atribuição de capacidade jurídica a entes despersonalizados, mais do que uma alternativa teórica, é tida aqui como uma imposição do sistema jurídico brasileiro. Nestes termos, consiste a presente tese em uma tentativa de depuração conceitual de uma das categorias centrais da relação jurídica, e por conseqüência, de todo o Direito Privado, qual seja: o sujeito de direitos. Abstract: The thesis here presented has the objective of overcoming the traditional understanding by which only persons (pessoas) could be subject of rights, that is to have legal capacity. This work offers a solution for many problems involving the perplexities and incongruences that the equalization of the notions of person and subject of rights bring to Legal Theory. The alternative proposed which is absolutely consonant with the legislation in force consists in recognizing the existence of subject of rights who do not have legal personality. More than a theoretical alternative, the attribution of legal capacity to impersonalized entities is perceived here as an imposition of the Brazilian legal system. Accordingly, the present thesis consists of an attempt to conduct a conceptual purification of one of the main categories of judicial relations, and, consequently, of all private law : subject of rights.

Bibliografia: f. 514-538 Esta tese realizou o estudo sobre a proteção aos direitos da personalidade do trabalhador no Direito do Trabalho. Efetuou o registro de diversas situações concretas recorrentes capazes de acarretar a violação aos direitos da personalidade do trabalhador nas três fases do contrato de trabalho: a pré-contratual, a de cumprimento do contrato e a pós-contratual. O fundamento dos direitos da personalidade do trabalhador reside na dignidade da pessoa humana, entendida como princípio fundamental de todo o sistema jurídico. Razão pela qual esta pesquisa reforça a proteção aos direitos da personalidade do trabalhador a análise da relação entre o poder empregatício e a subordinação jurídica, bem como a análise das limitações ao poder empregatício. Este estudo também registra a importância dos mecanismos extracontratuais de tutela dos direitos da personalidade do trabalhador. Neste quadro, examinou-se a tutela jurisdicional, por meio de suas ações individuais e coletivas; a tutela extrajudicial privada, por meio da proteção conferida pelos sindicatos aos direitos da personalidade do trabalhador ao longo da relação de emprego; e, finalmente, a tutela extrajudicial estatal, por meio das atribuições da Auditoria Fiscal Trabalhista e do Ministério Público do Trabalho na defesa de tais direitos. A presente tese assinala a necessidade de se equilibrar o exercício do poder empregatício conferido ao empregador com o respeito aos direitos da personalidade do trabalhador, o que se alcança mediante a convergência dos diversificados instrumentos inseridos na ordem jurídica pesquisados. Abstract: This work performed a study on the protection of personality rights of workers in labor law. Why this research reinforces the protection of personality rights of the worker of the relationship between power and subordination legal employment, as well as analysis of the limitations to power employment. This study also notes the importance of contractual arrangements for the protection of personality rights of the worker. In this context, we examined whether the courts, through their individual and collective actions, the private-court protection, by protecting the rights conferred by the trade unions of the personality of the worker during the employment relationship, and finally, the protection state-court through the powers of the Comptroller and the Labor Ministry of Labor in the defense of such rights. This thesis points out the need to balance the exercise of employment of employers with respect to the rights of the worker's personality, which is achieved through the convergence of diverse instruments inserted in the legal surveyed. Como entidade autônoma e independente, dotada de personalidade e com existência distinta da de seus membros, sempre gerou tentativas de se elucidar a sua natureza e razão de ser. Entre as categorias da pessoa jurídica, figuram as sociedades, fruto do fenômeno associativo dos homens. A formatação jurídica em torno das mesmas, visa proporcionar a consecução de determinados empreendimentos que os homens, sozinhos, não podem ou não lhes convém realizar. A empresa é uma atividade que pode ser exercida mediante a organização societária, cuja teoria foi acolhida pelo Código Civil de 2002, sendo nota peculiar das sociedades empresárias. Assim, a empresa pode ser exercida individualmente pelo empresário ou, pela sociedade. Esta, segundo o ordenamento jurídico brasileiro, pode ou não, se tornar pessoa jurídica, devendo, para tanto, providenciar o arquivamento dos seus atos constitutivos. Determinadas sociedades, contudo, não realizam tal arquivamento, o que não impossibilita a sua existência e atuação no mundo, sendo o arquivamento apenas critério para lhe atribuir personalidade. Este universo pertence à chamada sociedade em comum, não personificada, em que os sócios respondem de forma solidária e ilimitada pelas obrigações sociais. Devido à sua importância e presença nas relações jurídicas, recebe tratamento peculiar no Código Civil de 2002. Dessa forma, o presente trabalho pretende abordar a sociedade em comum, suas características, o tratamento legal que lhe é dispensado e, principalmente, elucidar a natureza jurídica dessa entidade, para afirmar ou não se a mesma possui personalidade. Abstract: The juridical person is one of the most important themes for the legal science. As autonomous and independent entity, endowed with personality and existence, distinct from its members, has always generated attempts to elucidate its nature and reason of being. Among the categories of legal entities, there are the societies, as a result of associative phenomenon of men. The juridical format around them, aims to provide the achievement of certain developments that men alone cannot achieve or does not suit them. The company is an activity that can be exercised by the corporate organization, whose theory was upheld by the Civil Code of 2002, being peculiar note of business companies. In this manner, the company can be exercised individually by the entrepreneur or by the society. This one, according to the Brazilian legal system, may or may not become a legal entity, and, thus, provide the filing of its charter. Certain companies, however, do not do that filing, which does not preclude their existence and operation in the world, being the only criterion for archiving give it personality. This universe belongs to the company called in common, not personified, in which partners respond in solidarity and unlimited for corporate obligations. Because of their importance and presence in legal relations, it receives treatment peculiar in the Civil Code of 2002. Thus, this study addresses the society in common, their characteristics, the legal treatment it is dispensed and, especially, to elucidate the legal nature of that entity, to confirm or not, if it has personality.

Tem esta pesquisa o intuito de estabelecer a diferenciação acerca das entidades sem fins lucrativos no que tange a aplicação da referida teoria no plano juslaboral, distinguindo duas hipóteses distintas: uma em que haverá a incidência da teoria da desconsideração da personalidade jurídica, e a outra em que não será possível a incidência deste instituto. Abstract: The present dissertação analyzes the diverse legal justinian codes of guarantees assured to the obligations, amongst them the theory of disrespect of the corporate entity. Intention has this research to establish the differentiation concerning the entities without lucrative ends in what it refers to the application of the cited theory in the juslaboral plan, distinguishing two distinct hypotheses: one where it will have the incidence of the theory of the disrespect of the personality legal, and to another one where the incidence of this institute will not be possible.
